Broker Warrant Certificates definition

Broker Warrant Certificates means the certificates representing the Broker Warrants and containing the terms thereof;

Broker Warrant Certificates has the meaning ascribed to such term on the second page of this Agreement;

• The Corporation will ensure that the Broker Warrants are duly and validly created, authorized and issued and shall have the attributes corresponding to the description thereof set forth in this Agreement and the Broker Warrant Certificates.

• The Corporation will ensure, at all times prior to the date that is 24 months from the Closing Date, that sufficient Broker Warrant Shares are authorized and allotted for issuance upon due and proper exercise of the Broker Warrants, and upon issuance in accordance with the terms of the Broker Warrant Certificates, the Broker Warrant Shares shall be validly issued as fully paid and non-assessable Common Shares.

• The Broker Warrants have been or prior to the Closing Time will be, duly and validly created and authorized for issuance and when issued and delivered by the Corporation pursuant to this Agreement and the Broker Warrant Certificates, the Broker Warrants will be validly issued.

• The Broker Warrant Shares have been, or prior to the Closing Time will be, duly and validly authorized for issuance and, upon exercise of the Broker Warrants in accordance with the terms and conditions of the Broker Warrant Certificates, the Broker Warrant Shares will be validly issued as fully paid and non-assessable Common Shares.

• The obligation of the Company to pay the Commission and to execute and deliver the Broker Warrant Certificates shall arise at the Closing Time.

More Definitions of Broker Warrant Certificates

Broker Warrant Certificates means the broker warrant certificates issued by the Company pursuant to which the Broker Warrants will be issued.
