All disputes relating in any way to this Plan of Arrangement will be resolved by the Courts of British Columbia.
This Agreement will be governed by and be construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
Time is of the essence of this Agreement and will be calculated in accordance with the provisions of the Interpretation Act (British Columbia).
If within 30 days after such deadlock no additional Trustee has been designated by the Board, and the matter in dispute has not been resolved, then any Trustee may apply to a Justice of the British Columbia Supreme Court to appoint a person to act as the additional Trustee and to cast a tie- breaking vote in accordance with the procedures set out in Paragraph (c) below.
