Borrower's Authorization. Borrower shall have provided in form and substance satisfactory to Lender properly certified resolutions, duly authorizing the execution and delivery of this Agreement, the Note and the Related Documents. In addition, Borrower shall have provided such other resolutions, authorizations, documents and instruments as Lender or its counsel, may require.
Borrower's Authorization. Where Borrower is a corporation, partnership, trust, or limited liability company, it is not necessary for Lender to inquire into the powers of Borrower or of the officers, directors, partners, members, managers, or agents acting or purporting to act on its behalf, and any Indebtedness made or created in reliance upon the professed exercise of such powers shall be guaranteed hereunder, subject to any limitations on Guarantor’s liability set forth herein.

The execution, delivery and performance by Borrower of this Agreement and the Credit Notes are within Borrower's powers, have been authorized by all necessary corporate action and do not and will not contravene Borrower's Articles of Incorporation or Bylaws, violate any provision of law or result in a breach of or default under any other agreement to which Borrower is a party.

Borrower understands and acknowledges that by paying one half (1/2) of the monthly payment every two weeks, in any twelve (12) month period, there will be two months in which three (3) bi-weekly payments will be made and as a result the Borrower’s total payments for the month will exceed the monthly amount due on Borrower’s Mortgage Loan. The additional partial payment will be applied to principal pending the Borrower’s satisfaction of the mortgage contractual amount due and payable.
