In the event of any default by Borrowers in the payment of the Obligations, after the expiration of any applicable cure or grace period, each Guarantor agrees, on demand by Agent (which demand may be made concurrently with notice to Borrowers that the Borrowers are in default of their obligations), to pay the Obligations, regardless of any defense, right of set-off or recoupment or claims which any Borrower or Guarantor may have against Agent or Lenders or the holder of the Notes.
The Credit Parties have requested that Lenders make available to Borrowers the financing facilities as described herein.
Borrowers may elect to terminate this Agreement in its entirety only.
Each Person so named shall be jointly and severally liable for all of the obligations of Borrowers under this Agreement.
