Board Representative definition

Board Representative means any person designated by the Investor to be elected or appointed to the Board, or his or her replacement designated in accordance with Section 1.2, provided, that such person’s service as a director must not be prohibited by Law. The parties hereto agree that the persons listed on Exhibit A to this Agreement are qualified for service pursuant to the foregoing sentence. Subject to applicable Law and stock exchange rules, until the Board Designation Expiration Date, each committee of the Board shall include at least one Board Representative.

Board Representative has the meaning set forth in Section 4.18.

Board Representative shall have the meaning set forth in Section 2.3(b).

Examples of Board Representative in a sentence

• Contemporaneously with Closing, and subject to the satisfaction of the fiduciary duties of the board of directors of b1BANK and all other legal and regulatory requirements regarding service and election or appointment as a director of b1BANK, BFST, as sole shareholder of b1BANK, shall cause b1BANK to appoint the Board Representative as a director of b1BANK in connection with and to commence serving immediately following the Closing.

• For the avoidance of doubt, BFST shall have no further obligation under this Section 6.10(a) or otherwise to nominate the Board Representative for election to the board of directors of BFST by the BFST shareholders following the expiration of the Escrow Period.

• For the avoidance of doubt, BFST shall have no further obligation under this Section 6.10(b) or otherwise to cause b1BANK to nominate the Board Representative for election to the board of directors of b1BANK by the sole shareholder of b1BANK following the expiration of the Escrow Period.

• Each such Board Representative will serve at the pleasure of the Investors or Viking Capital, as applicable, until his or her earlier resignation or removal.

More Definitions of Board Representative

Board Representative means the Executive Administrator, the Chief Financial Officer of the Board, the Development Fund Manager, the General Counsel and any other member, officer or employee of the Board authorized by resolution of the Board to perform the act or sign the document in question.

Board Representative means any one of the persons designated and authorized in writing from time to time by the Board to represent the Board in exercising the Board’s rights and performing the Board’s obligations under this Third Supplemental Facilities Lease or the Ground Lease; the Board Representative shall be the President of the Board of Supervisors for the University of Louisiana System, or his or her designee, the Vice President of Business and Finance or his or her designee, the President of the University, the Vice President for Finance and Administration of the University or any other representative designated by the resolution of the Board, of whom the Corporation has been notified in writing.

Board Representative means, for so long as he is employed by or in a similar relationship with the Investor, subject to applicable law, Xxxxx X. Xxxxxxx, or, in the event Xxxxx X. Xxxxxxx is no longer employed by or in a similar relationship with the Investor, or restricted by law or regulatory directive to serve as a member of the Board of Directors, the person designated by the Investor to be elected or appointed to the Board (which, at the option of the Investor, may be Xxxxx X. Xxxxxxx), which person shall be reasonably acceptable to the Company and shall be subject to satisfaction of all legal and governance requirements regarding service as a director of the Company and to the good faith approval of the Governance Committee (such approval not to be unreasonably withheld). The Investor understands that in the event that Xxxxx X. Xxxxxxx is no longer the person designated by the Investor to be elected or appointed to the Board, the Board may choose to appoint or elect Xxxxx X. Xxxxxxx to the Board, subject to satisfaction of all legal and governance requirements regarding service as a director of the Company.

Board Representative means the Chairman or the Vice-Chairman of the Transportation Board and any other member, officer or employee of the Transportation Board authorized by resolution of the Transportation Board to perform the act or sign the document in question.

Board Representative has the meaning given to it in the Investment Agreement.

Board Representative means Xxxx Xxxxxxxx or such successor as the Investor shall designate as provided herein. Until his appointment as a member of the Boards is effective, the Board Representative shall be entitled to attend Board meetings of the Company and the Bank as a non-voting observer. The appointment of the Board Representative as a director of the Company and the Bank shall be subject to Federal Reserve approval.

Board Representative means Xxxxxxx Xxxxxx or such successor as the holders of a majority of the shares of Common Stock held by the Investors shall designate.
