Board Determination definition

Board Determination shall have the meaning set forth in Section 3(b) of the Employment Agreement.
Board Determination means a determination by the Board (which is evidenced by one or more written resolutions to such effect) (i) to terminate the Executive's employment during the Employment Period based upon the Board's dissatisfaction with the manner in which the Executive has performed his obligations and duties under Section 2(a) and (ii) that Cause does not exist as a basis for such termination. For purposes of this Agreement, "without Cause" shall mean a termination by the Company of the Executive's employment during the Employment Period pursuant to a Board Determination or for any other reason other than a termination based upon Cause, death or Disability.

Notwithstanding the foregoing, no act or omission shall constitute or be the basis for a termination based upon a Board Determination unless the Board provides the Executive (a) written notice of its intention to terminate Executive’s employment pursuant to a Board Determination, and (b) an opportunity, within 30 days following the Executive’s receipt of such notice, to meet in person with the Board to explain or defend his performance to the Board.
Board Determination. The Board will have the power to conclusively determine if an Event of Default has occurred, including whether there has been a material breach of this agreement. The Board will be entitled to take advice from appropriately qualified professionals in reaching its determination.
