Best of Knowledge definition

Best of Knowledge has the meaning set forth in Section 8.13.
Best of Knowledge shall be defined as follows: Each Person shall be deemed to have “Knowledge” of a particular fact or matter if such Person (and, if such Person is a corporation, partnership or other corporate entity, then the reference shall be to the chief executive officer, chief financial officer and internal general counsel, and (with respect to the Companies and Parent) in relation to the technical and intellectual property issues, also its chief technology officer, or any other persons carrying responsibilities similar to those of the forgoing office holders) is actually aware of such fact.
Best of Knowledge of a person means that no information has come to the attention of such person that would give such person actual knowledge of facts contrary to the existence or absence of the facts indicated and that such person has not undertaken any independent investigation to determine the existence or absence of such facts.

More Definitions of Best of Knowledge

Best of Knowledge. Any reference in this Agreement to "the best of the knowledge" of a party or to "the knowledge" of a party will mean the actual knowledge of the party (which shall be the knowledge of Xxxxx Xxxxxxxxxx in the case of Alrae) and the knowledge which such party would have had if such party had conducted a reasonably prudent inquiry into the relevant subject matter.
Best of Knowledge or similar phrase, means the actual knowledge the individual has based on the information possessed and belief formed without any specific inquiry into the matter in question. When the context refers to the knowledge possessed by Classic Trailer, it shall be deemed to refer to the best of Sellers' knowledge.
Best of Knowledge as used with respect to a Person or its employees and representatives, means the actual knowledge and awareness of such Person as of the date of this Agreement.
