Beneficial Shares definition

Beneficial Shares means Common Stock that is Beneficially Owned by Investor and its Covered Affiliates over which Investor and/or any Covered Affiliate exercises actual voting control.

Beneficial Shares has the meaning given to it in Clause 2.4;

Beneficial Shares. Shares of Beneficial Interest" or "Shares" means the equal proportionate units of interest of any of the classes or series into which the beneficial interest of any class or series of the Trust shall be divided from time to time and includes fractions of Beneficial Shares as well as whole Beneficial Shares.

Examples of Beneficial Shares in a sentence

• I undertake to cause the registered holder of any Beneficial Shares to comply with the undertakings in paragraphs 2 and 3 above in respect of the Beneficial Shares.

• I shall cause the registered holder of any Beneficial Shares and Further Beneficial Shares to comply with paragraphs 6(a) to 6(c) in respect of the Beneficial Shares and Further Beneficial Shares.

• Barrick shall acquire the Randgold Shares, the Beneficial Shares and any Further Randgold Shares pursuant to the Offer free of any lien, charge, option, equity or encumbrance of any nature whatsoever and together with all rights of any nature attaching to those shares, excluding the right to any dividend which shall be paid to Randgold shareholders in accordance with the terms of the 2.7 Announcement.

• I will execute and deliver such documents and shall give such instructions as shall be necessary to give full effect to my obligations hereunder including, if appropriate, the delivery of share certificates or other documents of title in respect of the Target Shares and the Beneficial Shares and any Further Target Shares or Further Beneficial Shares (as defined in paragraph 2 below).

More Definitions of Beneficial Shares

Beneficial Shares means shares of beneficial interest, $3.00 par value of the Trust.

Beneficial Shares means 600 shares in the capital of Xxxxxx owned as to the beneficial interest by the Beneficial Seller and as to the legal interest by Xx Xxxxxxx;
