Beneficial Ownership Percentage definition

Beneficial Ownership Percentage means, with respect to any Holder or beneficial owner of a Note or beneficial interest therein, as of any day, the fraction, expressed as a percentage, (i) the numerator of which is the number of shares of Common Stock that the Holder or beneficial owner, as applicable, and each Person subject to aggregation of shares with such Holder or beneficial owner, as applicable, under Section 13 of the Exchange Act and the rules and regulations promulgated thereunder directly or indirectly beneficially own (as defined under Section 13 of the Exchange Act and the rules and regulations promulgated thereunder) and (ii) the denominator of which is the number of shares of Common Stock outstanding. For the avoidance of doubt, the Trustee will have no responsibility to calculate any Beneficial Ownership Percentage.
Beneficial Ownership Percentage means, as of any time, the percentage obtained by dividing (a) the number of Ordinary Shares (including Ordinary Shares represented by American Depositary Shares) and Share Equivalents of which the Investor and its Affiliates are the Beneficial Owners as of such time, by (b) the total number of Ordinary Shares (including Ordinary Shares represented by American Depositary Shares) outstanding as of such time.
Beneficial Ownership Percentage means the percentage where (a) the numerator is equal to (i) the number of issued and outstanding shares of Common Stock beneficially owned by the Investor and its Affiliates plus (ii) the number of shares of Common Stock issuable upon the exercise of warrants owned by the Investor and its Affiliates and (b) the denominator is equal to (i) the total number of shares of Common Stock issued and outstanding plus (ii) the number of shares of Common Stock issuable upon the exercise of warrants owned by the Investor and its Affiliates. As of the date of this Agreement, the Investor and its Affiliates together own 16,471,258 issued and outstanding shares of Common Stock and warrants exercisable for 1,418,116 shares of Common Stock. Thus, the Beneficial Ownership Percentage as of the date of this Agreement, calculated based on the 99,406,356 shares of Common Stock issued and outstanding as of the date of this Agreement, is 17.7%.

Beneficial Ownership Percentage means, as of any time, the percentage obtained by dividing (a) the number of Ordinary Shares (including Ordinary Shares represented by American Depositary Shares) and Share Equivalents of which HSH and its Affiliates are the Beneficial Owners as of such time, by (b) the total number of Ordinary Shares (including Ordinary Shares represented by American Depositary Shares) outstanding as of such time (but in each of (a) and (b) above, excluding any Ordinary Shares (including Ordinary Shares represented by American Depositary Shares) and Share Equivalents issued pursuant to that certain Share Issuance and Repurchase Agreement, dated as of September 16, 2010, by and between the Company and HSH, and pursuant to that certain Share Issuance and Repurchase Agreement, dated as of January 23, 2008, by and between the Company and Xxxxxx Xxxxxxx & Co. Beneficial Ownership Percentage at any time shall be the fully diluted percentage ownership of the outstanding Common Stock owned by a Person, which shall include in the numerator, all shares of Common Stock owned by a Person, plus all shares of Common Stock such person has the right to acquire upon the conversion or exercise of any Common Stock Equivalents, divided by, as a denominator, all outstanding shares of Common Stock of the Company plus all outstanding Common Stock Equivalents outstanding for the Company.
