BCC Common Stock definition

BCC Common Stock means the common stock, $0.001 par value per share, of BCC.
BCC Common Stock has the meaning set forth in Section 1.1.

Examples of BCC Common Stock in a sentence

  • All shares of BCC Common Stock issued pursuant to the terms of this Agreement shall be duly authorized, validly issued, fully paid and non-assessable, and free of preemptive rights.

  • The information sent by BCC shall contain the recommendation of the BCC Board that the holders of shares of BCC Common Stock approve the adoption of this Agreement and the transactions contemplated hereby, including the Merger.

  • Until surrendered, each outstanding certificate that prior to the Acquisition Date represented BCC Common Stock (other than certificates representing dissenting Shares) shall be deemed for all purpose, other than the payment of dividends or other distributions, to evidence ownership of the number of shares of BMM Common stock into which was converted.

  • BCC intends that BCC Common Stock to be issued pursuant to Section 2.5(a) hereof will be issued in a transaction exempt from registration under the Securities Act, by reason of Section 4(a)(2) of the Securities Act, Rule 506 of Regulation D promulgated by the SEC thereunder and/or Regulation S promulgated by the SEC and that all recipients of such shares of BCC Common Stock shall either be “accredited investors” or not “U.S. Persons” as such terms are defined in Regulation D and Regulation S, respectively.

  • It should be noted that full repairing and insuring terms would mean that a group would be responsible for all repair, maintenance, running and insurance costs for the building/space they occupy.

  • For the avoidance of doubt, the provisions of the immediately prior sentence shall only apply to registered BCC Common Stock and shall not expand the rights of holders of BCC Common Stock to the extent that such shares are not subject to an effective Registration statement or the Prospectus does not meet the requirements of Section 5(b) of the Securities Act.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Series B Common Stock means the Series B Common Stock, par value $0.01 per share, of the Company.

  • Company Common Stock means the common stock, par value $0.01 per share, of the Company.

  • Fully-Diluted Common Stock means the aggregate of all outstanding Common Stock as of the date hereof, plus all shares of Common Stock issuable upon the exercise or conversion of securities exercisable for, or convertible into, shares of Common Stock of the Company which securities are outstanding or issuable as of the date hereof.

  • Class A Common Stock means the Class A common stock, par value $0.01 per share, of the Company.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Parent Common Stock means the common stock, par value $0.01 per share, of Parent.

  • Common Stock means the common stock of the Company.

  • Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of the Company.

  • Acquiror Common Stock means the common stock, par value $0.001 per share, of Acquiror.

  • Outstanding Company Common Stock means the outstanding shares of Common Stock, par value $1 per share, of the Company;

  • Seller Common Stock means the common stock, par value $0.01 per share, of Seller.

  • Buyer Common Stock means the common stock, par value $0.01 per share, of Buyer.
