Basket Amount definition

Basket Amount shall have the meaning set forth in Section 8.4(a).

• Notwithstanding any other provision of this Agreement, this representation and warranty shall survive the Closing Date without limitation and shall not be subject to the Basket Amount contained in Section 12.4.1 or the limitations of Section 12.4.2. 15.3.
