Basic Amount definition

Basic Amount has the meaning set forth in Section 4.15(a).
Basic Amount means, with respect to a Major Investor, its pro rata portion of the Offered Securities determined by multiplying the number of Offered Securities by a fraction, the numerator of which is the aggregate number of shares of Common Stock issued or issuable upon conversion of all Shares then held by such Major Investor, and the denominator of which is the total number of shares of Common Stock then outstanding (giving effect to the conversion into Common Stock of all outstanding shares of convertible preferred stock, and all shares of Common Stock issuable upon the exercise of outstanding Warrants).
Basic Amount shall have the meaning ascribed to such term in Section 4.18(a)(ii).

Examples of Basic Amount in a sentence

  • The coverage amount is equal to what the Basic Amount (see page 21) would be if there were no extra benefits, minus the contract fund.

Basic Amount means, with respect to a holder of Preferred Stock, its pro rata portion of the Securities, determined by multiplying the number of Securities by a fraction, the numerator of which is the aggregate number of shares of Common Stock then held by such holder (giving effect to the conversion into Common Stock of all shares of convertible preferred stock and exercise of all warrants (assuming cashless exercise) then held by such holder) and the denominator of which is the total number of shares of Common Stock then outstanding (giving effect to the conversion into Common Stock of all shares of convertible preferred stock or other convertible securities and exercise of all options, warrants (assuming cashless exercise) or other rights to purchase Securities of the Corporation then outstanding).
Basic Amount shall have the meaning set forth in Section 4.4.
Basic Amount shall have the meaning assigned to such term in Section 11.01.
Basic Amount means the amount shown on the Policy Information Page as the “Basic Amount” (or as amended by endorsement from time to time). The “Basic Amount” is used to calculate Premium and guaranteed Cash Value, but it is not applicable to the calculation of the death benefit. If the Basic Amount has been amended while this Policy is in force, the said Premium and guaranteed Cash Value will be adjusted accordingly.
