Baseline Threshold definition

Baseline Threshold means the figure as notified to the Provider and recorded at Schedule 3 Part 4B (Nationally Specified Events) setting out the threshold of the number of reported cases of Clostridium difficile for the applicable Contract Year and such figure may change as notified by the Co-ordinating Commissioner to the Provider for each subsequent Contract Year;
Baseline Threshold means the figure as notified to the Provider and recorded at Schedule 16 Part 2 of Module B (Nationally Specified Events) setting out the threshold of the number of reported cases of Clostridium difficile for the applicable Contract Year and such figure may change as notified by the Commissioner to the Provider for each subsequent Contract Year;
Baseline Threshold is defined in Section 8.2(b).

Examples of Baseline Threshold in a sentence

  • At the end of each Contract Year, the Parties shall review the number of cases of Clostridium difficile for that Contract Year and where the Provider has exceeded the Baseline Threshold the Commissioner shall make financial deductions calculated in accordance with this paragraph 2.

  • The Provider shall not exceed the Baseline Threshold for the number of cases of Clostridium difficile in delivering the acute services at the Provider’s Premises.

  • VWAP Minimum Price Threshold means, with respect to any particular VWAP Purchase Notice, the Sale Price on the VWAP Purchase Date equal to the greater of (i) 80% of the Closing Sale Price on the Business Day immediately preceding the VWAP Purchase Date or (ii) such higher price as set forth by the Company in the VWAP Purchase Notice.

  • Baseline Value for each of the Company and the Peer Companies means the dollar amount representing the average of the Fair Market Value of one share of common stock of such company over the five consecutive trading days ending on, and including, the Effective Date.

  • Threshold means with respect to Party B: infinity.

  • Minimum Threshold means the average daily yield on the 10 Year Treasury Note (as reported in the Bloomberg GT10 index) over the Award Period.

  • Threshold Percentage means 15%.

  • Stated Threshold means total losses under the shared loss agreements in the amount of $4 Billion ($4,000,000,000.00).

  • Bid threshold means the dollar amount set in N.J.S.A. 18A:18A-3, above which a Board shall advertise for and receive sealed bids in accordance with procedures set forth in N.J.S.A. 18A:18A-1 et seq.

  • Cumulative EBITDA means, as of any date of determination, EBITDA of the Company from the Existing Notes Issue Date to the end of the Company’s most recently ended full fiscal quarter prior to such date, taken as a single accounting period.

  • LTM EBITDA means Consolidated EBITDA of the Company measured for the period of the most recent four consecutive fiscal quarters ending prior to the date of such determination for which internal consolidated financial statements of the Company are available, in each case with such pro forma adjustments giving effect to such Indebtedness, acquisition or Investment, as applicable, since the start of such four quarter period and as are consistent with the pro forma adjustments set forth in the definition of “Fixed Charge Coverage Ratio.”

  • Baseline Period means the 12-month period immediately preceding October 30, 2016.

  • Target EBITDA means, for each fiscal year, the EBITDA set forth in the operating budget of the Company, as approved by the Board, for the particular year.

  • Micro-purchase threshold means the dollar amount at or below which a district may purchase property or services using micro-pur- chase procedures. Generally, the micro-purchase threshold for pro- curement activities administered under federal awards is not to ex- ceed the amount set by the Federal Acquisition Regulations (FAR) at 48 C.F.R. Part 2, Subpart 2.1 [see below], unless a higher threshold is requested by the district and approved by the cogni- zant agency for indirect costs.

  • Quarterly (1/Quarter) sampling frequency means the sampling shall be done in the months of March, June, August, and December, unless specifically identified otherwise in the Effluent Limitations and Monitoring Requirements table.

  • Target Value shall have the meaning stated in Section 7.2 of Schedule D to this Agreement.

  • TTM EBITDA means, as of any date of determination, EBITDA of Borrower determined on a consolidated basis in accordance with GAAP, for the 12 month period most recently ended.

  • Accelerated Purchase Minimum Price Threshold means, with respect to any Accelerated Purchase made pursuant to Section 2(b) hereof, any minimum per share price threshold set forth in the applicable Accelerated Purchase Notice.

  • stipulated minimum threshold means that portion of local production and content as determined by the Department of Trade and Industry; and

  • Target Percentage means those percentages assigned to Participants pursuant to Section 3.2 hereof.

  • Performance Measurement Period has the meaning set forth in Section 3.1(e)(ii).

  • Baseline means the “Initial Small Business Lending Baseline” set forth on the Initial Supplemental Report (as defined in the Definitive Agreement), subject to adjustment pursuant to Section 3(a).
