Base Share Price definition

Base Share Price shall have the meaning ascribed to such term in Section 3(b).

Examples of Base Share Price in a sentence

• If the Company, at any time while the Warrant is outstanding, shall issue rights, options or warrants to all holders of Common Stock (and not to the Holder) entitling them to subscribe for or purchase shares of Common Stock at a price per share less than the Exercise Price on the record date mentioned below, then the Exercise Price shall be reduced to equal to the Base Share Price.

• For purposes of clarification, whether or not the Company provides a Dilutive Issuance Notice pursuant to this Section 3(b), upon the occurrence of any Dilutive Issuance, after the date of such Dilutive Issuance the Holder is entitled to receive a number of Warrant Shares based upon the Base Share Price regardless of whether the Holder accurately refers to the Base Share Price in the Notice of Exercise.

• For purposes of clarification, whether or not the Company provides a Dilutive Issuance Notice pursuant to this Section 3(b), upon the occurrence of any Dilutive Issuance, the Holder is entitled to receive a number of Warrant Shares based upon the Base Share Price regardless of whether the Holder accurately refers to the Base Share Price in the Notice of Exercise.

More Definitions of Base Share Price

Base Share Price means $1,368,075.52, which number represents the per share consideration paid by the Investors for the shares of New LBI Stock purchased by them on the date hereof, as such dollar amount is appropriately adjusted for stock splits, stock dividends, combinations of shares, recapitalizations, mergers, consolidations or other reorganizations.

Base Share Price means the lower of (A) the lowest cash price per share paid in a Dilutive Issuance or (B) the number resulting from (1) the Consideration (as defined in Section 10(f)) received by the Company or any of its Subsidiaries in such Dilutive Issuance divided by (2) the total number of shares of Common Stock sold, issued or granted (on a Fully Diluted Basis). Dilutive Issuances shall include any of the following adjustments or changes under Common Stock Equivalents: purchase price adjustments, reset adjustments, ratchet adjustments, other changes in exercise, conversion or exchange prices or changes in the number of shares of Common Stock issuable pursuant to any Common Stock Equivalents;

Base Share Price means the price per share equal to the average closing price of Parent Common Stock for the fifteen (15) trading days ending three (3) Business Days prior to the date of this Agreement, as adjusted for any stock dividends, stock splits, combinations of shares, recapitalization, merger, consolidation, restructuring or other reorganization.

Base Share Price granted as of a date prior to February 1, 1990 shall be $39.60 per Phantom Share.

Base Share Price means (i) if the Company issues shares of Common Stock in a transaction or series of related transactions, the aggregate consideration the Company receives for the shares of Common Stock issued in the transaction or series of related transactions divided by the number of shares of Common Stock so issued, or, (ii) if the Company issues Common Stock Equivalents in a transaction or series of related transactions, the amount the Company receives as consideration of the issuance of the Common Stock Equivalents, plus the minimum aggregate amount of additional consideration (as set forth in the instruments relating thereto, without regard to any provision contained therein for a subsequent adjustment of such consideration) payable to the Company upon the exercise of, or the conversion or exchange of such Common Stock Equivalents divided by the maximum number of shares of Common Stock (as set forth in the instruments relating thereto, without regard to any provision contained therein for a subsequent adjustment of such number) issuable upon the exercise of or the conversion or exchange of such Common Stock Equivalents.

Base Share Price means the price per share at which the Company issues Ordinary Shares or Ordinary Share Equivalents in a transaction or series of related transactions other than those of Exempt Issuance.
