Base Expense Amount definition

Base Expense Amount. The aggregate of Operating Expenses incurred in connection with the Building during calendar year 2005 (grossed up as provided in Section 4(d) of the Lease).
Base Expense Amount means the actual Operating Expenses for the calendar year 2002 subject to adjustment as provided below in this paragraph. In the event that during all or any portion of any calendar year the rentable area of the Building is not fully rented, fully occupied and/or being completely provided with Building standard services, Landlord may make an appropriate adjustment of Operating Expenses for such year, employing sound accounting and management principles, to determine the Operating Expenses that would have been paid or incurred by Landlord had the rentable area of the Building been fully rented, fully occupied and/or completely provided with Building standard services during such period of time and the amount so determined shall be deemed to have been the Operating Expenses for such year. As a result, the last sentence of Section 4.(d) of the Lease is hereby deleted in its entirety.
Base Expense Amount. The amount of Operating Expenses (including the Operating Expenses which Landlord elects to "gross-up" as provided in Section 4(c) of the Lease) for the Building during the calendar year 2000 on a "per square foot of Rentable Space in the Building" basis. PREPAID RENTAL: $9,198.75, representing payment of Base Rental for the first month of the Lease Term, to be paid on the date of execution of this Lease. SECURITY DEPOSIT: $9,198.75 to be paid on the date of the execution of the Lease, and held by Landlord pursuant to the provisions of Section 29 of the Lease.

More Definitions of Base Expense Amount

Base Expense Amount means the Tenant's Proportionate Share (defined in Paragraph 3(c) below) of actual Expenses incurred during the Base Year, which Base Year shall be the period beginning on January 1, 2006, and ending on December 31, 2006 should Tenants occupancy be delayed past June 30, 2006 the full calendar year 2007 shall be the Base Year. For the first year that the Building is in service, the Base Expense Amount shall be calculated to reflect the fully assessed value (for Real Estate Tax purposes) of the Building, the land on which the Building is located and land affected by any appurtenant rights or benefits to the Building or Premises (such as parking, drainage and access) and further calculated to reflect actual Expenses that would be incurred at a level of ninety-five percent (95%) Building occupancy. During the Term and any extensions thereof the base year for "Operating Expenses" shall be reset every five (5) years to be the actual expenses of the next calendar year. Expenses shall be "grossed-up" to reflect and occupancy level of 95%. EXHIBIT C, Paragraph 2 is deleted in its entirety and the following Paragraph 2 is inserted in lieu thereof:
Base Expense Amount means the Expenses for the Base Year (i.e., calculated by taking the sum of the Expenses for calendar year 2011 and calendar year 2012 and dividing such sum by 2), subject to Section 49.05 below.
Base Expense Amount. The aggregate of Operating Expenses incurred in connection with the Building during calendar year 1997.

  • Expense Amount As defined in Section 11.01(b) hereof.

  • Capitalization Reimbursement Amount As to any Distribution Date, the amount of Advances or Servicing Advances that were added to the Stated Principal Balance of the related Mortgage Loans during the prior calendar month and reimbursed to the Master Servicer or Subservicer on or prior to such Distribution Date pursuant to Section 3.10(a)(vii), plus the Capitalization Reimbursement Shortfall Amount remaining unreimbursed from any prior Distribution Date and reimbursed to the Master Servicer or Subservicer on or prior to such Distribution Date.

  • Minimum Cash Amount shall have the meaning set forth in Section 6.2(iv).

  • Estimated Transaction Expenses has the meaning set forth in Section 2.3(a).

  • Cumulative Retained Excess Cash Flow Amount means, at any date, an amount, not less than zero in the aggregate, determined on a cumulative basis equal to the aggregate cumulative sum of the Retained Percentage of Excess Cash Flow for all Excess Cash Flow Periods ending after the Closing Date and prior to such date.

  • Broken Amount means, in respect of any Interest Payment Date, the amount specified in the relevant Final Terms.

  • Daily Cash Amount means, with respect to any VWAP Trading Day, the lesser of (A) the applicable Daily Maximum Cash Amount; and (B) the Daily Conversion Value for such VWAP Trading Day.

  • Maximum Contribution Amount shall equal the excess of (i) the aggregate proceeds received by such Holder pursuant to the sale of such Registrable Notes or Exchange Notes over (ii) the aggregate amount of damages that such Holder has otherwise been required to pay by reason of such untrue or alleged untrue statement or omission or alleged omission. No person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any Person who was not guilty of such fraudulent misrepresentation. The Holders’ obligations to contribute pursuant to this Section 8(d) are several in proportion to the respective principal amount of the Registrable Securities held by each Holder hereunder and not joint. The Company’s and Subsidiary Guarantors’ obligations to contribute pursuant to this Section 8(d) are joint and several. The indemnity and contribution agreements contained in this Section 8 are in addition to any liability that the Indemnifying Parties may have to the Indemnified Parties.

  • Interest Expenses means, with respect to any Person for any period, the sum, determined on a consolidated basis in accordance with GAAP, of all interest accruing on the Indebtedness of such Person during such period (including interest attributable to Capital Leases).

  • Annualized Interest Expense means, for the four consecutive quarters ending on each Reporting Date, the Operating Partnership’s Pro Rata Share of interest expense, with other adjustments as are necessary to exclude the effect of items classified as extraordinary items, in accordance with generally accepted accounting principles, reduced by amortization of debt issuance costs and adjusted to reflect the assumption that (i) any interest expense related to indebtedness incurred since the first day of such four-quarter period is computed as if such indebtedness had been incurred as of the beginning of such period, and (ii) any interest expense related to indebtedness that was repaid or retired since the first day of such four-quarter period is computed as if such indebtedness had been repaid or retired as of the beginning of such period (except that, in making such computation, the amount of interest expense related to indebtedness under any revolving credit facility shall be computed based upon the average daily balance of such indebtedness during such four-quarter period).

  • Net Working Capital Adjustment Amount means an amount (which may be a positive or negative number) equal to (a) the Closing Date Net Working Capital minus (b) the Target Net Working Capital.
