Base Conversion Rate definition

Base Conversion Rate means 16.3720 shares of Common Stock, subject to adjustment as set forth in Section 12.11 per $1,000 Principal Amount of Securities.
Base Conversion Rate has the meaning specified in Section 4.02(a).
Base Conversion Rate shall initially be 555.6 shares of Common Stock per $1,000 principal amount of Securities, subject to adjustment as provided in Article 9.

Examples of Base Conversion Rate in a sentence

  • If any dividend or distribution of the type described in this Section 9.04(a) is declared but not so paid or made, the new Base Conversion Rate shall be readjusted to the Base Conversion Rate that would then be in effect if such dividend or distribution had not been declared.

  • If the Board of Directors makes a determination to increase the Base Conversion Rate, it will be conclusive.

  • Except in the case of a share combination or a reverse split, in no event shall the Base Conversion Rate be decreased pursuant to this Section 9.04(a).

  • If the adjustment is not made because the adjustment does not change the Base Conversion Rate by at least 1%, then the adjustment that is not made will be carried forward and taken into account in any future adjustment.

  • Unless and until a Responsible Officer of the Trustee and the Conversion Agent shall have received such Officer’s Certificate, neither the Trustee nor the Conversion Agent shall be deemed to have knowledge of any adjustment of the Base Conversion Rate and may assume that the last Base Conversion Rate of which it has knowledge is still in effect.


More Definitions of Base Conversion Rate

Base Conversion Rate means the currency conversion rate announced or published by the Approved Quotation Standard for the Approved Currency in which the Cardholder’s Card is denominated that is applicable on the date of the Transaction.
