Base Case Model definition

Base Case Model means the financial model and statements including profit and loss, balance sheet and financial projections reflecting the forecasted consolidated financial conditions of the Group for the term of this Agreement (for these purposes assuming both before and after the incurrence of the indebtedness under the Finance Documents), each in form and substance satisfactory to the Finance Parties addressed to, and/or capable of being relied upon by the Finance Parties.
Base Case Model is defined in the LLC Agreement.
Base Case Model means the financial model attached hereto as Annex 1-B, as may be revised from time to time pursuant to this Agreement.

Base Case Model means a computer model agreed to by a Managing Member and the related Tax Equity Investor showing the expected economic results from ownership of the PV Systems owned by the related Financing Fund and the assumptions to be used in calculating when such Tax Equity Investor has reached its target internal rate of return, which is attached as an exhibit to the related Financing Fund LLCA.
Base Case Model means the financial model in agreed form relating to the Group (for these purposes assuming completion of the Acquisition) and delivered to the Facility Agent pursuant to Clause 4.1 (Initial Conditions Precedent), or such amended version of such base case model as agreed between Bidco and the Mandated Lead Arrangers;
