Bancorp Stock definition

Bancorp Stock means the common stock, no par value, of Bancorp.

Bancorp Stock as herein provided and shall use their best efforts to effectuate the purposes of this Agreement in a fair and responsible manner. If at any time during the period of the escrow Zions Bancorp and the Company or (before the Effective Date) the Company or (after the Effective Date) the Agent for Equity Holders shall not be able, for a period of seven days, to concur upon joint written instructions to the Escrow Agent, their differences shall, at the request of either of them, at the expiration of such number of days, be submitted for final determination to arbitration in accordance with Section 18.3 hereof.

Bancorp Stock means the common stock of Bancorp.

• The Subscriber hereby irrevocably offers to purchase that number of Shares of the Bancorp set forth on the signature page and hereby tenders the Subscriber’s check payable to “Infinity Bancorp Stock Subscription Account” in the aggregate dollar amount set forth on the signature page at a per Share purchase price of $12.50, or hereby confirms that a wire for that amount has been sent to the Bank, as impound agent for the Offering, as provided above.

• Zions Bancorp Stock shall be listed on the National Association of Securities Dealers' Automated Quotation System (or else shall become listed on a national securities exchange).

• The Sun Bancorp Stock Fund is considered a non-Participant-directed investment, which is mainly comprised of Sun Bancorp, Inc.

• Includes information related to the Northeast Bancorp Stock Option and Incentive Plan Stock Option Plan approved by the shareholders in 2010 (the “2010 Plan”).
