Each Phase Two Private Placement Party shall report its Phase Two Party Claim Amount, and each Additional Private Placement Party shall report its Additional Party Claim Amount, to the Claims and Balloting Agent promptly after becoming a Phase Two Private Placement Party or Additional Private Placement Party, as the case may be, but in no event later than the Private Placement Enrollment Outside Date.
Upon receipt of the Nominee Register, the Noteholder and Credit Facility Balloting Agent will (i) contact each Nominee to determine the number of Solicitation Packages needed by the Nominee for distribution to the applicable Beneficial Owners for whom the Nominee performs services and (ii) deliver to each Nominee the requisite number of Solicitation Packages with the appropriate Ballots.
If the undersigned elected to make the Release Election in Item 3 or to participate in the Reallocation Procedures in accordance with Item 4, the undersigned also acknowledges that such election(s) is an irrevocable and legally binding obligation of the undersigned as of the Voting Deadline pending approval and upon the effective date of the Plan and that a copy of this Ballot will be transmitted with the Nominees’s Master Ballot for review by the Notes Balloting Agent, the Debtors and Xcel and its agents.
To be considered a member of the Voluntary Australian Subclass and to be eligible to be approved to receive payment under the Settlement Option, every member of the Voluntary Australian Subclass must submit a properly completed and executed Ballot Form to the U.S. Balloting Agent on or before the Registration/Voting Deadline.
If the Ballot Form is sent by mail, the mailing must be received by the U.S. Balloting Agent on or before the Registration/Voting Deadline.
