Award Shares definition

Award Shares means Shares covered by an outstanding Award or purchased under an Award.

Award Shares means the shares of Common Stock of the Company issued or issuable pursuant to a Stock Award, including Option Shares issued or issuable pursuant to an Option.

Award Shares means shares of Sensormatic Common Stock awarded to Executive pursuant to Sensormatic's Stock Incentive Plan or any other compensation plan or arrangement of Sensormatic, other than pursuant to the exercise of options, and the term "Market Value" shall mean the average of the high and low sales prices of a share of such Common Stock on the applicable date (or most recent date on which one or more sales occurred) as reported through NASDAQ or the principal exchange on which such Common Stock was listed for trading.

Examples of Award Shares in a sentence

• If you terminate due to death, Disability, or Retirement, you will vest in a prorated portion of your XXX Award Shares determined by multiplying the number of your XXX Award Shares by a fraction, the numerator of which is the number of whole months you were employed from the Grant Date to the date of death, Disability or Retirement, and the denominator of which is 36.

• If your employment with the Company terminates under any other circumstance (including if such termination is by the Company for Cause regardless of whether such termination could also constitute a Retirement), your XXX Award Shares will be forfeited on your termination date.

• If you terminate due to Retirement, you will vest in a prorated portion of your Shares of Restricted Stock determined by multiplying the number of your Award Shares by a fraction, the numerator of which is the number of whole months you were employed from the Grant Date to the date of Retirement, and the denominator of which is 36.

• Payment of the Award shall be made to the Participant in the form of a number of Company common shares determined by multiplying such pro rata portion of your XXX Award Shares by the applicable percentage for the level of performance certified by the Compensation Committee, with performance based on the Company’s relative Average XXX for the portion of the Performance Period that ended on the last day of the calendar quarter immediately preceding the date of termination.

• Any XXX Award Shares that do not vest or are not so settled will be forfeited.

More Definitions of Award Shares

Award Shares means fully-paid, non-assessable shares of Class A Common Stock that are issued or transferred pursuant to, and with such restrictions as are imposed by, the terms of this Plan and the Guidelines. Such shares may be shares of original issuance or treasury shares or a combination of the foregoing and, in the discretion of the Company, may be issued as certificated or uncertificated shares.

Award Shares means shares of common stock covered by a Stock Award.

Award Shares means the shares of Common Stock covered by this Award Agreement.

Award Shares means the aggregate number of Shares issued or issuable to Participant pursuant to this Agreement, which number of Shares is set forth on the facing page of this Agreement.
