Average Parent Share Price definition

Average Parent Share Price means the volume weighted average trading price of the Parent Shares on the NYSE (as reported by Bloomberg L.P. or, if not reported thereby, by another authoritative source mutually agreed by the Company and Parent) for the 20 consecutive trading days ending on the date immediately preceding the Effective Time.
Average Parent Share Price means the average closing sales price, rounded to four decimal points, of Parent Common Shares on the NYSE (as reported in the Wall Street Journal, New York City edition) for the period of the ten (10) consecutive trading days ending on the second full trading day prior to the Effective Time.
Average Parent Share Price means the average of the last sales prices per share of Parent Common Stock on the New York Stock Exchange, Inc. (the "Stock Exchange") Composite Tape for the 20 consecutive trading days ending on the trading day which is five days prior to the Closing Date; or

More Definitions of Average Parent Share Price

Average Parent Share Price means the average of the last reported sales prices per share of Parent Common Stock as quoted by The Nasdaq National Market ("Nasdaq") for the 20 consecutive trading days ending on the trading day (the "Price Measuring Date") which is ten trading days prior to the Closing Date.
Average Parent Share Price means the average of the VWAPs for the twenty (20) consecutive Trading Days ending on (and including) the Trading Day that is three (3) Trading Days prior to the date of the First Effective Time.
Average Parent Share Price means the volume weighted average trading price per share (calculated to the nearest one-hundredth of one cent) of Parent Common Shares as reported on NASDAQ, for the consecutive period of fifteen (15) trading days beginning on the sixteenth trading day immediately preceding the Closing Date and concluding at the close of trading on the last trading day immediately preceding the Closing Date.
Average Parent Share Price means the average of the daily volume-weighted sales prices per share of Parent Common Stock on the New York Stock Exchange, Inc. for each of the 10 consecutive trading days ending on the trading day which is five calendar days prior to the Closing Date, or, if such ending date does not fall on a trading day, then the trading day immediately preceding the fifth calendar day prior to the Closing Date (the "VALUATION PERIOD").
