Available Employees definition

Available Employees has the meaning given to it in Section 6.5(a).

Available Employees has the meaning set forth in Section 7.4(a).

Available Employees means the employees of Seller who are based at the Boulder Facility or are listed on Schedule 8; provided, however, that none of the employees identified on Schedule 6 will be deemed to be "Available Employees."

Examples of Available Employees in a sentence

• For the avoidance of doubt, Buyer shall be liable for any severance and termination obligations incurred as a result of the consummation of the Transactions for Available Employees and the Company shall retain liability for severance paid to Employees who are not Available Employees and not employees of the Transferred Subsidiaries.

• Except as expressly provided in Section 9.1(c) or as required by law, all Available Employees shall cease accruing benefits under and shall cease to participate in the Compensation and Benefit Plans as of the Closing Date.

• The Company shall not offer any severance, through the Company's regular severance program or otherwise, to Available Employees who do not become Transferred Employees, except as described in Section 9.1(a)(ii) or as disclosed pursuant to an individual agreement in Section 6.7(a) of the Disclosure Letter.

• The Company shall not pay out to Employees vacation pay benefits earned but not yet used as of the Closing Date, other than for Available Employees who choose not to become Transferred Employees, which vacation pay cost shall be reimbursed by Buyer.

• Approximately five Business Days prior to Closing, the Company shall furnish to Buyer an updated list of Available Employees as of such date.

More Definitions of Available Employees

Available Employees means those Business Employees who are available for hire by Buyer, as designated by Seller on a schedule provided to Buyer prior to the Execution Date.

Available Employees has the meaning specified in Section 8.2(a).

Available Employees means those Business Employees who are not Excluded Employees, all of whom are identified in the Employee Letter and are available for Buyer or its Affiliates, in Buyer’s sole discretion, to make employment offers as part of the transaction contemplated by this Agreement.

Available Employees means, other than any Qualified Employee, (i) each Census Employee, (ii) each other employee of Seller and its Affiliates who, as of the date hereof, dedicates at least fifty percent (50%) of his or her business time providing services primarily related to the Business, (iii) each other employee of Seller and its Affiliates identified as an “Available Employee” by Seller to Buyer, and (iv) each individual hired (including an internal hire or transfer) following the date hereof and prior to the Closing Date by Seller or any of its Affiliates to replace any individual identified in clauses (i), (ii) or (iii) above.

Available Employees means those qualified employees present in the designated areas of a headquarters/service center at the time the overtime is needed. The designated area for overtime solicitation at each location will be determined by local management and the appropriate union steward. If more available employees than are needed express a willingness to accept the assignment, position on the call out list will determine the selection.

Available Employees means Dxxxxx Xxx and Txxxxxxx Xxxxxx.
