Authorized Sublicensee definition

Authorized Sublicensee means a third Person that has acquired a license from a member of the Freescale Group with respect to any PCS Phone Deliverable pursuant to and in accordance with Section 2.7 (PCS Sublicense) that is: (a) an original equipment manufacturer (OEM) or original design manufacturer (ODM) customer of a member of the Freescale Group purchasing the Freescale Wireless Component with which it will use the PCS Phone Deliverable; (b) an independent design house that will use the PCS Phone Deliverable to design products that use the Freescale Wireless Component; (c) a third Person engaged by a member of the Freescale Group as an agent to develop and deliver to Freescale Derivatives of PCS Phone Deliverables on behalf of a member of the Freescale Group; or (d) a third Person partner engaged by a member of the Freescale Group to develop Derivatives of PCS Phone Deliverables for use with the Freescale Wireless Component.

Authorized Sublicensee means a sublicensee of Kissei for which all required consents and approvals have been obtained from Protox in accordance with paragraph 2.03.

Authorized Sublicensee shall have the meaning ascribed to it in Section 2.2.1.

Examples of Authorized Sublicensee in a sentence

• An Authorized recipient in full compliance with Section 5(b), above, shall enjoy the same rights to internal use provided to the Authorized Sublicensee under Section 4 with respect to CASA Reports it properly obtains from the Sublicensee under this Agreement.

• The Sublicensee acknowledges that CASA Reports are protected by copyright as unpublished works and as confidential information, that the Authorized Sublicensee is not the owner of the CASA Reports, and that the Authorized Sublicensee's rights in and to the CASA Reports are solely those expressly granted herein.

• The Third-Party Materials may be subject to restrictions, payment obligations or procurement responsibilities that are different from or in addition to the restrictions and charges applicable to the Products and Documentation hereunder and HSNS and/or each End User or Authorized Sublicensee shall be responsible for obtaining such Third Party Materials pursuant to a separate agreement with each such third party.

• Notwithstanding any other provision of this Agreement, OEM shall have no right to and shall not, sublicense, provide or distribute any Software Update to any End User or Authorized Sublicensee if OEM bee not paid all applicable Technical Support fees due to Nuance.

• Notwithstanding anything else in this Agreement to the contrary, the End Users and Authorized Sublicensees of HSNS shall not have any right or otherwise be entitled to assert any claim against LTD under this Agreement as a third party beneficiary or otherwise, and LTD shall have no duty or responsibility in connection with this Agreement to any such End User or Authorized Sublicensee.

Authorized Sublicensee means (a) a direct Sublicensee of Licensee or its Affiliate, or (b) any further sublicensee approved by ISF1 in advance; provided, however, that ISF1 shall not unreasonably withhold such approval.

Authorized Sublicensee means a sublicensee of InterMune's rights pursuant to Section 3 of this Amendment, the sublicense to whom is permitted pursuant to Section 3(a) or 3(d) of this Amendment.
