Authorized and Issued Capital. The authorized capital of the Purchaser consists of an unlimited number of Common Shares, of which 32,067,104 Common Shares are currently issued and outstanding. All of the issued and outstanding Common Shares are fully paid and non-assessable and have been duly and validly authorized and issued, in compliance with applicable laws and not in violation of or subject to any pre-emptive or similar right that entitles any person to acquire from the Purchaser any Common Shares or other security of the Purchaser or any Convertible Securities. The Purchaser is not a party or subject to any agreement or understanding and, to the knowledge of the Purchaser, there is no agreement between any shareholders or officers or directors of the Purchaser that affects or relates to the voting or giving of written consents with respect to any of the Common Shares. Other than the Common Shares referred to in this section and 400,000 warrants exercisable at a price of $0.10 each until April 26, 2021, the Purchaser does not have any other securities issued and outstanding, including Convertible Securities.”
