Authorizations and Filings definition

Authorizations and Filings means any and all permits, authorizations, approvals, consents or other governmentally required actions of any kind and the making of any and all notifications, submissions or other filings which constitute necessary antecedents to the taking of the specified action under this Lease.

Examples of Authorizations and Filings in a sentence

  • To the extent that there are any such Authorizations and Filings that are available to Landlord but not to Tenant, upon Tenant’s reasonable request, Landlord shall use reasonable best efforts to obtain such Authorizations and Filings for the benefit and use of Tenant and at the reasonable costs and expense of Tenant.

  • Each Party shall, at its sole cost and expense, comply with all Requirements applicable to any Alteration undertaken by such Party, including, without limitation, obtaining, prior to commencement of any such Alteration, Authorizations and Filings that may be required in connection with such Alteration, and, upon completion thereof, obtaining any requisite certificates, including, without limitation, certificates of completion or certificates of occupancy.

  • Tenant shall maintain and repair all meters and Landlord and Tenant shall procure (at Tenant’s cost) all Authorizations and Filings necessary to secure delivery of such utility services.

  • Landlord shall obtain (at its own costs and expense) any and all such Authorizations and Filings imposed or mandated by any Governmental Authority in connection with or related to Landlord Permitted Programming or Landlord’s Fundraising Event.

Related to Authorizations and Filings

  • Authorizations means all licenses, permits and approvals required by any governmental or quasi-governmental agency, body or officer for the ownership, operation and use of the Property or any part thereof.

  • Governmental Filings means all filings, including franchise and similar tax filings, and the payment of all fees, assessments, interests and penalties associated with such filings with all Governmental Authorities.

  • Government Authorizations means all such approvals, consents, authorizations, acknowledgements, licenses or permits required to be issued by any Government Authority to the Company for the establishment of the Company or to the Company or the Contractors for the construction, financing, ownership, operation, and maintenance of the Facility by the Company or the Contractors, including, without limitation, those Government Authorizations listed in Schedule 1;

  • Consents, Clearances and Permits means all authorizations, licenses, approvals, registrations, permits, waivers, privileges, acknowledgements, agreements, or concessions required to be obtained from or provided by any concerned authority for the purpose of setting up of the generation facilities and/ or supply of power;

  • Regulatory Authorizations means all approvals, clearances, authorizations, registrations, certifications, licenses and permits granted by any Regulatory Authority.

  • Necessary Authorizations means all approvals and licenses from, and all filings and registrations with, any governmental or other regulatory authority, including, without limiting the foregoing, the Licenses and all approvals, licenses, filings and registrations under the Communications Act, necessary in order to enable the Borrower and its Subsidiaries to own, construct, maintain, and operate communications tower facilities and to invest in other Persons who own, construct, maintain, manage and operate communications tower facilities.

  • Filings the filing or recording of (i) the Financing Statements as set forth in Schedule 3, (ii) this Agreement or a notice thereof with respect to Intellectual Property as set forth in Schedule 3, and (iii) any filings after the Closing Date in any other jurisdiction as may be necessary under any Requirement of Law.

  • Product Authorizations means any and all approvals, including applicable supplements, amendments, pre- and post-approvals, clearances, licenses, notifications, registrations, certifications or authorizations of any Governmental Authority, any Regulatory Agency necessary for the preclinical or clinical testing, manufacture, development, distribution, use, storage, import, export, transport, promotion, marketing, sale or other commercialization of a Product in any country or jurisdiction.

  • Governmental Authorizations means any approval, consent, license, permit, waiver, or other authorization issued, granted, given, or otherwise made available by or under the authority of any Governmental Entity or pursuant to any Legal Requirement.

  • Service Authorization means that Open Ecosystem Partner needs to meet specific qualification requirements for the products included in a “Service” Product Family that Open Ecosystem Partner wants to promote and offer Services for as set out in detail in the Open Ecosystem Program Guide.

  • Governmental Consents has the meaning set forth in Section 3.5.

  • Prior authorization means that we must approve the Services in advance in order for the Services to be covered.

  • Governmental Authorization means any permit, license, authorization, plan, directive, consent order or consent decree of or from any Governmental Authority.

  • Required Filings shall have the meaning specified in the Pledge and Security Agreement.

  • Material Consents as defined in Section 7.3.

  • Approvals means all licenses, permits, approvals, certificates and other authorizations granted or issued by any Governmental Authority for the matter or item in question.

  • Sell Authorization means that Partner needs to meet specific training and qualification requirements for the products included in an “On Premise” Product Family that Partner wants to resell as set out in detail in the PartnerEdge Program Guide and the applicable RSPI.

  • Private Authorizations means all franchises, permits, licenses, approvals, consents and other authorizations of all Persons (other than Governmental Authorities).

  • Environmental Authorizations means all licenses, permits, orders, approvals, notices, registrations or other legal prerequisites for conducting the business of the Borrower required by any Environmental Requirement.

  • Government Approvals means all permits, licenses, authorisations, consents, clearances, decrees, waivers, privileges, approvals from and filing with government instrumentalities necessary for the development, construction and operation of the Work.

  • Required Consents shall have the meaning set forth in Section 4.5.

  • Required Governmental Approvals has the meaning set forth in Section 3.03.

  • Governmental Approvals means all authorizations, consents, approvals, licenses and exemptions of, registrations and filings with, and reports to, all Governmental Authorities.

  • ACH Authorization means the ACH Debit Authorization Agreement in substantially the form of Exhibit H.

  • Company Approvals has the meaning set forth in Section 3.5(b).

  • Governmental Consent means any notice to, registration, declaration or filing with, exemption or review by, or authorization, order, consent or approval of, any Governmental Entity, or the expiration or termination of any statutory waiting periods;
