AUTHORITY TO PERFORM AGREEMENTS. The Company undertakes to obtain all consents, approvals, authorizations or orders of any court or governmental agency or body which are required for the performance of this Agreement and under the Organizational Documents or the consummation of the transactions contemplated hereby and thereby, respectively, or the conducting by the Company of the business described in the Prospectus.
AUTHORITY TO PERFORM AGREEMENTS. The Company undertakes to obtain all consents, approvals, authorizations or orders of any court or governmental agency or body which are required for the Company’s performance of this Agreement and under the Articles of Amendment and Restatement in the form included as exhibits to the Registration Statement (as the same may be amended, supplemented or otherwise modified from time to time, the “Company’s Charter”) and bylaws for the consummation of the transactions contemplated hereby and thereby, respectively, or the conducting by the Company of the business described in the Prospectus.
AUTHORITY TO PERFORM AGREEMENTS. The Company shall use its commercially reasonable best efforts to obtain all consents, approvals, authorizations or orders of any court or governmental agency or body which are required for it to perform its obligations under this Agreement and the Organizational Documents and to consummate the transactions contemplated hereby and thereby, respectively, or to conduct the business described in the Prospectus.
AUTHORITY TO PERFORM AGREEMENTS. The Company undertakes to obtain all consents, approvals, authorizations or orders of any court or governmental agency or body which are required for the Company’s performance of this Agreement, the Advisory Agreement and under its certificate of formation and limited liability company operating agreement for the consummation of the transactions contemplated hereby and thereby, respectively, or the conducting by the Company of the business described in the Prospectus, except where the failure to obtain such consents, approvals, authorizations or orders, individually or in the aggregate related to the conducting by the Company of the business described in the Prospectus, would not result in a Material Adverse Effect on the Company.
AUTHORITY TO PERFORM AGREEMENTS. The Trust undertakes to obtain all consents, approvals, authorizations or orders of any court or governmental agency or body which are required for the Trust’s performance of this Agreement and under its declaration of trust and bylaws for the consummation of the transactions contemplated hereby and thereby, respectively, or the conducting by the Trust of the business described in the Prospectus.
AUTHORITY TO PERFORM AGREEMENTS. The Master Fund and each Feeder Fund will obtain all consents, approvals, authorizations or orders of any court or governmental agency or body which are required for performance of this Agreement and under such Fund’s governing documents (as the same may be amended, supplemented or otherwise modified from time to time), in the form included as exhibits to such Fund’s Registration Statement, for the consummation of the transactions contemplated hereby and thereby, respectively, or the conducting by the Master Fund and the Feeder Fund of the business described in the Feeder Fund’s Prospectus.
AUTHORITY TO PERFORM AGREEMENTS. The Partnership undertakes to obtain all consents, approvals, authorizations or orders of any court or governmental agency or body which are required for the Partnership’s performance of this Agreement and under the Partnership’s certificate of limited partnership and partnership agreement (as the same may be amended, supplemented or otherwise modified from time-to-time, the “Partnership’s Partnership Agreement”) for the consummation of the transactions contemplated hereby and thereby, respectively, or the conducting by the Partnership of the business described in the Prospectus.
AUTHORITY TO PERFORM AGREEMENTS. The Seller undertakes to obtain all consents, approvals, authorizations or orders of any court or governmental agency or body required for the performance of this Agreement by the Seller.

AUTHORITY TO PERFORM AGREEMENTS. The Operating Partnership shall use its commercially reasonable best efforts to obtain all consents, approvals, authorizations or orders of any court or governmental agency or body which are required for it to perform their respective obligations under this Agreement and under its Partnership Agreement or other organizational documents (as each may be amended from time to time) and to consummate the transactions contemplated hereby and thereby, respectively, or to conduct the business described in the Offering Memorandum.
