Assumed Options definition

Assumed Options shall have the meaning set forth in Section 2.03(a).

Assumed Options means options of VCI to be assumed by Reorganized --------------- Prism upon the Merger to purchase an aggregate of 1,685,000 shares of Reorganized Prism.

Assumed Options means the Company Stock Options granted under the Company Stock Option Plans and identified on Schedule I hereto.

Examples of Assumed Options in a sentence

• The Assumed Options, Assumed RSU Awards and Assumed Phantom Awards will be denominated in Aon Shares and exercisable for or settled in Aon Shares (or, in the case of Assumed Phantom Awards, to the extent determined by Aon, cash or as required by the WTW Phantom Stock Unit Awards, applicable Law or Section 4.3 (for tax liquidity)), and Aon shall take all corporate action necessary to effectuate the foregoing.

• Assumed Options will remain subject to the terms of the applicable Company Equity Plans and stock option agreements, except as necessary to effectuate the transactions contemplated in this Agreement.

• As soon as practicable after the Effective Time, Aon shall deliver to the holders of Assumed Options, Assumed RSU Awards and Assumed Phantom Awards appropriate notices setting forth such holders’ rights.

• To the extent any of the Assumed Options are forfeited or canceled, shares of common stock underlying those options will not be available for new awards under the 2010 Plan.

• Further, all outstanding awards under the 2001 Stock Option, Deferred Stock and Restricted Stock Plan, as well as the Company's 1995 Stock Option, Deferred Stock and Restricted Stock Plan (together, the "Prior Plans"), were assumed by the 2010 Plan and are deemed to be awards granted and outstanding under the 2010 Plan (the "Assumed Options").

More Definitions of Assumed Options

Assumed Options means the New Company Options described in Section 6.11(a) that are assumed pursuant to the terms of this Agreement.

Assumed Options means those Options or portions there --------------- of as identified on Schedule 2.4(a) granted under the Company's 1990 Stock Option Plan or 1994 Incentive Stock Option, Nonqualified Stock Option and Restricted Stock Purchase Plan that will not have vested and become exercisable as of the Effective Time as identified on Section 2.4(a) of the Company Disclosure Schedule having an aggregate exercise price on the date hereof in an amount not materially less than $5 million. To the extent any Options or portions thereof, as identified on Schedule 2.4(a), cannot be assumed by Parent, such Options or portions thereof shall be treated as Cash-Out Options and shall be cancelled as of the Effective Time in consideration for a cash payment in accordance with Section 2.4(b).
