Assumed Actions definition

Assumed Actions has the meaning set forth in Section 6.11(a).

Assumed Actions means (a) those Actions which are listed in Schedule 1; and (b) those Actions that are primarily related to the Xxxxxxxx 66 Business.

Examples of Assumed Actions in a sentence

• From and after the Closing Date, the Outdoor Group will assume, and subject to certain exceptions set forth in the Separation Agreement, direct the defense or prosecution of any legal proceedings primarily relating to the Outdoor Business (the “Assumed Actions”) and be responsible for all liabilities that may result from the Assumed Actions and all fees and costs relating to the defense of the Assumed Actions, including attorneys’ fees and costs.

• From and after the Closing Date, the Outdoor Group shall assume and thereafter, except as provided in Article V, direct the defense or prosecution of the Assumed Actions and be responsible for all Liabilities that may result from the Assumed Actions and all fees and costs relating to the defense of the Assumed Actions, including attorneys’ fees and costs incurred thereafter.

• Any Losses arising from such actions shall be deemed Assumed Actions under the Distribution Agreement.

More Definitions of Assumed Actions

Assumed Actions means those Actions (in which any member of the GGP Group or any Subsidiary of a member of the GGP Group is a defendant or the party against whom the claim or investigation is directed) primarily relating to the Spinco Business, including the Actions listed on Schedule 6.5(a). Spinco shall use its commercially reasonable efforts to cause each member of the GGP Group to be removed from the Assumed Actions; provided, however, that if Spinco is unable to cause each member of the GGP Group to be removed from an Assumed Action, GGP and Spinco shall cooperate and consult to the extent necessary or advisable with respect to such Assumed Action.

Assumed Actions means those Actions (a) in which any Fortune Brands Party or any of its Affiliates is a defendant or the party against whom the claim or investigation is directed and (b) that primarily relate to the H&S Business, including those Actions listed on Schedule 1.1(A).

Assumed Actions means those cases, claims and investigations (in which any TXI Party or any Affiliate of a TXI Party, other than a Chaparral Party, is a defendant or the party against whom the claim or investigation is directed) primarily related to the Chaparral Business, including those listed on Schedule 6.10(a).

Assumed Actions means those Actions (in which any member of the JDSU Group or any Affiliate of a member of the JDSU Group is a defendant or the party against whom the claim or investigation is directed) primarily relating to Lumentum Business or the Lumentum Assets (including Actions, if any, allocated to Lumentum under the EMPLOYEE MATTERS AGREEMENT but excluding Actions allocated to JDSU under the EMPLOYEE MATTERS AGREEMENT), including the Actions listed on SCHEDULE 5.5(A); provided, however, that if the assumption by Lumentum of an Action that would otherwise be an Assumed Action hereunder is not permitted by applicable Law, such Action shall not be an Assumed Action hereunder and the procedures set forth in Article V shall apply to the control and management of such Action (provided, that such Action shall remain a Lumentum Liability).

Assumed Actions has the meaning specified in Section 7.12(a).

Assumed Actions means those Actions (i)(a) in which any Xxxx Xxx Party or any of its Affiliates is a defendant or the party against whom the claim or investigation is directed and (b) that primarily relate to the CoffeeCo Business, including those Actions listed on Schedule 1.1(A) or (ii) not primarily related to the CoffeeCo Business but arising out of or related to the Designated CoffeeCo Liabilities, including those Actions listed on Schedule 1.1(B).

Assumed Actions means those Actions, whenever commenced, primarily relating to the Outdoor Business, including those in which any member of the iHeart Group is a party.
