Assignment Effective Date definition

Assignment Effective Date as defined in Section 10.6(b).

Assignment Effective Date shall have, with respect to each Assignment Agreement, the meaning set forth therein.

Examples of Assignment Effective Date in a sentence

• Assignments made pursuant to the foregoing provision shall be effective as of the Assignment Effective Date.

• If (a) the Debt is a Performing Loan, (b) the terms relating to “Paid on Settlement Date” set forth in Section 5 are applicable to the Transaction and (c) the Assignment Effective Date occurs on a Delayed Settlement Date, then the “Paid On Settlement Date Amount” shall be deemed to mean an amount equal to the accrued but unpaid amount of Interest and Accruing Fees and, if applicable, Adequate Protection Payments, to (but excluding) the Commencement Date.

• If Seller does not timely provide Buyer with advanced notification of a Proposed Delayed Settlement Date then Buyer shall be obligated to pay the Purchase Price no later than the Business Day immediately following the date Seller provides Buyer with notice of the Assignment Effective Date.

• Assignee’s failure to cure any such defaults under this Section 5(a) shall not impair or prejudice Assignee’s rights under this Assignment, including the right to give a Notice of Intent to Assume and the obligation to cure after the Assignment Effective Date the Curable Defaults identified in the Termination Notice.

• For an Electronic Assignment Notification received after 11:00 a.m. (New York time) but on or before 6:00 p.m. (New York time), the Assignment Effective Date shall be the Business Day immediately following the date on which the Electronic Assignment Notification has been provided and Buyer shall be obligated to pay the Purchase Price to Seller (to the extent the Purchase Price is a positive number) on such Assignment Effective Date.
