An assignment shall become effective when a formal Task Assignment Document is signed by the CONSULTANT and the AGENCY, except that emergency actions requiring a 24-hour or less response can be handled by an oral authorization.
Such oral authorization shall be followed up with a Formal Task Assignment Document within two working days, and any billing rates agreed to orally (for individuals, subconsultants, or organizations whose rates were not previously established in the AGREEMENT) shall be provisional and subject to final negotiation and acceptance by the AGENCY.
Task assignments made by the AGENCY shall be issued in writing by a Formal Task Assignment Document similar in format to the following page of this exhibit.
If one party requests the other to execute an Assignment Document and the requested party fails to execute the document within 14 days after the request, the requested party appoints the requesting party, as the requested party’s true and lawful attorney, to execute all Assignment Documents in the requested party’s name.
Seller shall transfer the Interests to Buyer by delivery of the Assignment Document at Closing.
