Assigned Products definition

Assigned Products means, individually and collectively, each Assigned Collaboration Product and each Assigned Strategic Alliance Product.
Assigned Products means long-acting GLP-1 named as GX-G6 (“GX-G6”). For the avoidance of doubt, the term “Assigned Products” does not include hyFc Platforms.

  • Each party, at its own expense and without further consideration, will execute and deliver such other documents, and take such other action, as may be necessary or appropriate in order to consummate more effectively the transactions contemplated hereby, including in particular as necessary or appropriate to effectuate the transfer of all Assigned Products and all Assignor Patent Rights to Assignee.

  • Thereafter, ASSIGNEE shall use all reasonable effort to effect introduction of Assigned Products or Services which incorporate the Patent Pending or Patented Technology into the commercial market as soon as practicable, consistent with sound and reasonable business practices and judgment.

  • In the course of the development and manufacture of Assigned Products, such Party will not knowingly use and will not have knowingly used any employee or consultant who is or has been debarred by the FDA or Regulatory Authorities, or, to the best of such Party’s knowledge, is or has been the subject of debarment proceedings by the FDA or Regulatory Authorities.

  • Each Party will promptly notify the other upon becoming aware of any Third Party claim or action against Virobay and/or Celera for infringement of any Third Party Patent based on Assigned Products.

  • For so long as an Assigned Product or a Combination Product is being developed or Commercialized under this Agreement, Virobay will provide Celera with written summaries of all research, development, clinical, regulatory and commercialization activities using any Celera Intellectual Property or related to Assigned Products or Combination Products (“Development Summaries”).

  • As of the Effective Date, Virobay shall have the sole right to file, in its own name, and will own any and all Drug Approval Applications for Assigned Products or Combination Products.

  • Virobay covenants to comply with all laws, statutes, regulations and guidance of Regulatory Authorities applicable to the development, manufacture and Commercialization of the Assigned Products or Combination Products in an applicable country.


More Definitions of Assigned Products

Assigned Products means any product, apparatus or methods, the production manufacture, sale, lease, use or practice of which incorporates or makes use of one or more Assigned Patent(s) claims or and Assigned IP.
Assigned Products means Products bearing the TBC trademarks or brand names set forth in Schedule A, but does not mean or include any other Products; in particular, it does not mean or include similar or otherwise identical Products that do not bear any of the TBC trademarks or brand names that are set forth in said Schedule.
Assigned Products means those products manufactured either by SELLER or PURCHASER through use of the Assigned Technology and the Assigned IP Rights, all subsequent versions thereof, and all other future products of Purchaser within the scope of the Assigned Technology.

  • Related Products means (i) with respect to Resource Adequacy Benefits that portion of the Resource Adequacy Benefits that are in excess of those Resource Adequacy Benefits used by Seller or by a Site Host, both in connection with the Host Site, to meet a known and established, at the point in time when the Resource Adequacy Benefits are to be used, resource adequacy obligation under any Resource Adequacy Ruling, and (ii) any Green Attributes, Capacity Attributes and all other attributes associated with the electric energy or capacity of the Generating Facility (but not including any Financial Incentives) that are in excess of those Green Attributes, Capacity Attributes or other attributes used, or retained for future use, by Seller or a Site Host, both in connection with the Host Site, to meet a known and established, at the point in time when the relevant attribute(s) are to be used or retained, obligation under Applicable Law.

  • Bundled Product means Product sold together with any other product(s) or service(s) at a single unit price, whether packaged together or separately, and which other product(s) or service(s) have material independent value from Product itself.
