Assigned Patents definition

Assigned Patents means only those
Assigned Patents means (i) the issued patents and patent applications listed on Schedule 2.1 attached hereto (“Listed Assigned Patents”), (ii) any patents that issue from any patent applications included in the Listed Assigned Patents, (iii) any patents or patent applications that claim priority from the Listed Assigned Patents, and (iv) any continuations, continuations-in-part, divisionals, continuing patent applications, counterparts, reissues, re-examinations, extensions, and renewals of any Listed Assigned Patents.
Assigned Patents means the patents and patent applications set forth in Schedule 1(c).

Examples of Assigned Patents in a sentence

  • BMS shall not amend, waive or otherwise modify the terms or conditions of such license agreement in a manner that impairs University’s rights in or to the Assigned Patents under this Agreement.

  • BMS agrees to promptly record, at University’s expense, the Assignment attached hereto as Appendix C (or other suitable form) in favor of University with the U.S. Patent and Trademark Office and other foreign patent offices for the Assigned Patents.

  • To the extent that BMS has possession of any file wrapper materials concerning the prosecution of the Assigned Patents, BMS shall transfer to University copies of the same promptly after the Effective Date.

  • Except as expressly provided hereunder, no other rights to the Assigned Patents or Other Patent Rights are granted to University by this Agreement, either express or implied.

  • By this Agreement, BMS does not assign any part of such third party license to University, and University does not assume any rights or obligations thereunder, except that University takes the Assigned Patents as encumbered by such third party license.


More Definitions of Assigned Patents

Assigned Patents means the patents and patent applications listed on Schedule A, together with all continuations and divisionals of such applications and the patents issuing therefrom, and reexaminations, reissues and foreign counterparts of the patents listed on Appendix A and/or issued as described above.
Assigned Patents means (i) the PATENT APPLICATIONS set forth in Schedule I, all PATENT APPLICATIONS claiming priority to such PATENT APPLICATIONS, any of their progeny and any PATENTS issuing from, directly or indirectly, or based upon any of the foregoing, and (ii) the inventions described or claimed in any of the foregoing.
Assigned Patents means all Patents owned (or purported to be owned by), issued to, or for which applications are pending in the name of, Issuer or any of its Subsidiaries and (a) assigned to Rockley Photonics Limited, including without limitation any Patents described on Schedule 11(a) of the Disclosure Letter or that are hereafter owned by, acquired by, or filed in the name of, the Company or any of its Subsidiaries, including Patents that are the subject of Section 4.33.
Assigned Patents means all Patents issued to, or for which applications are pending in the name of, Holdings or any of its Subsidiaries and (a) assigned to IP Hold-Co in accordance with the Patent Assignment Agreement, including without limitation any Patents described on Schedule 5.17(a) or that are hereafter acquired by, or filed in the name of, Holdings or any of its Subsidiaries, including Patents that are the subject of Section 6.18.
