Assigned Marks definition

Assigned Marks shall have the meaning set forth in the Intellectual Property Agreement.

Assigned Marks means the marks specifically set forth in Schedule A in Appendix G hereto which are assigned to Buyer by Agere in the performance of this Agreement to the extent such marks are owned by Seller and to which Seller has the right to transfer as of the Effective Date of this Agreement.

Assigned Marks means any rights Seller has to the SUBSYS Mark in the Territory and any goodwill associated therewith.

More Definitions of Assigned Marks

Assigned Marks has the meaning given to such term in Section 2(a).

Assigned Marks means the trademarks listed in Exhibit 1 and all Intellectual Property Rights therein.

Assigned Marks means the Marks set forth on Schedule C hereto and owned as of the Assignment Effective Date by Assignor (or such of its Affiliates identified on Schedule C hereto as the assignor with respect to such Marks) that are included in the SpinCo Intellectual Property and subject to a registration or application.

Assigned Marks means the trademarks, service marks, trade names, logos, trade dress and all elements thereof specifically set forth in Schedule A in Appendix F together with any registrations or applications therefore, all common law rights thereto and the goodwill appurtenant thereto and/or symbolized thereby.

Assigned Marks means (i) the trademark and service xxxx and trade name “Xxxxxxx Xxxxxxx,” including, without limitation, the United States trademark applications and registrations set forth on Schedule A, (ii) the “WC” logo as identified on Schedule B, (iii) the trademark and service xxxx and trade name “WORKSAFE,” including, without limitation, the trademark applications and registrations set forth on Schedule A, (iv) the domain names set forth on Schedule C and (v) any derivations, variations, modifications, transliterations and translations of any of the foregoing items set forth in clauses (i) through (iv), and any Marks the same as or confusingly similar to any of the foregoing items set forth in clauses (i) through (iv) and this clause (v), together with any Marks comprising, consisting of, containing or including any such items (collectively, “Derivatives”), to the extent that each Assignor has any rights, title or interest in or to such Derivatives; in each case, together with all goodwill associated with each of the foregoing.

Assigned Marks means all Trademarks included in the Transferred Intellectual Property or owned by the Transferred Entities as of the Closing Date.
