The Borrower will not agree to any amendment or supplement to, or waive or fail to enforce, the Underlying Documents (other than in respect of any Assignable Charter) to which it is a party or any of its provisions without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) which consent and instructions will not be unreasonably withheld.
In relation to the Vessel owned by it, (i) let that Vessel on demise or bareboat charter for any period, other than pursuant to an Approved Intercompany Charter, (ii) permanently remove that Vessel from service and placing such Vessel in cold lay-up, or (iii) enter into any Assignable Charter, without the prior consent of the Majority Lenders, such consent not to be unreasonably withheld, delayed or denied.
