Asset Seller definition

Asset Seller shall have the meaning set forth in the preamble of this Agreement.

Asset Seller means any Person which duly transfers a Series Asset to a Series, by any method permitted by applicable law (including, but not limited to, a purchase agreement, option agreement or consignment agreement).

Asset Seller means the Person from whom Borrower acquires Assets.

• Subject to Section 6.1(y), if between the date hereof and the Closing the operator of any Non- Operated Asset proposes any operation or action with respect to such Non-Operated Asset, Seller will promptly notify Buyer of such proposal and shall vote in favor of (or against), or grant (or withhold) consent to, such operation or action as directed by Buyer in its sole discretion.

• LivaNova and each Asset Seller shall provide to Purchaser (or its applicable affiliate) all information required to be provided by the predecessor under such Revenue Procedure and any other information reasonably required by Purchaser (or its applicable affiliate) in connection with its reporting obligations thereunder.

• LivaNova has the requisite corporate (or similar organizational) power and authority to enable it to own the Transferred Shares owned by it, and each Asset Seller has the requisite corporate power and authority to enable it to own, operate, lease or otherwise hold the Transferred Assets occupied, owned, leased, operated or otherwise held by it, and to conduct the Business as currently conducted.

Asset Seller means Türkiye Finans in its capacity as seller pursuant to the Initial Asset Portfolio Sale and Purchase Agreement;

Asset Seller means any Affiliate of Seller, other than any Group Company, which conducts the Business in any way, including by virtue of being the employer of a Business Employee, or being the owner of any Acquired Asset or party to any Acquired Contract.

Asset Seller means, in relation to each Sale Asset set forth in Part 2 (Details of the Asset Sellers, Asset Purchasers, etc.) of Annex 1 (Details Regarding Shares and Sale Assets), the member of the Sellers’ Group whose name is set forth against that Sale Asset as the seller of such Sale Asset;
