Asset Sale Event definition

Asset Sale Event means any sale, transfer or other disposition of Collateral outside the ordinary course of business, if any such Collateral was included for purposes of calculating the Collateral Value Amount then in effect and such sale, transfer or disposition will result in the release of such Collateral from the Liens granted under the Security Documents.
Asset Sale Event means any sale, transfer or other disposition of any business units, assets or other property of Holdings or any of the Restricted Subsidiaries not in the ordinary course of business (excluding any sale, transfer or other disposition of assets among the Canadian Borrower and the Guarantors) other than any such event or transaction (or series of related events or transactions) the Net Cash Proceeds of which are less than $7,500,000. Notwithstanding the foregoing, the term “Asset Sale Event” shall not include any transaction permitted by Section 6.04, other than transactions permitted by Sections 6.04(b) and 6.04(f) if they otherwise qualify under this definition as an Asset Sale Event.

Asset Sale Event means any asset sale by the Company or any of its direct or indirect subsidiaries outside the ordinary course of business, other than a sale relating to Affinia’s Xxxx/Arnley foreign nameplate distribution business or Xxxxxxx Xxxxxx European parts supply business.
