Asking Price definition

Asking Price as used herein shall mean the consideration specified in Exhibit C attached hereto which LICENSOR would be willing to accept for the sale of LICENSOR PATENTS to a third party buyer.
Asking Price is defined in Section 8.9(b).
Asking Price shall have the meaning set forth in Section 7.1(b)(i) hereof.

Asking Price. The closing Asking Price of Buyer's common stock for any day shall be the last reported sale price or, in case no such reported sale takes place on such day, the average of the asked prices for such day, in each case (1) on the principal national securities exchange on which the shares of common stock are listed or to which such shares are admitted to trading or (2) if the common stock is not listed or admitted to trading on a national securities exchange, in the over-the-counter market as reported by NASDAQ or any comparable system or (3) if the common stock is not listed on NASDAQ or a comparable system as furnished by two members of NASDAQ selected from time to time in good faith by the Board of Directors of Buyer for that purpose. In the absence of all of the foregoing, or if for any other reason the current asking price per share cannot be determined pursuant to the foregoing provisions of this paragraph, the asking market price per share shall be the fair market value thereof as determined in good faith by the Board of Directors of the Buyer.
Asking Price means the lowest price the Seller wishes to list the vehicle for as an indication to Easy Offer of the offer the Seller expects for the relevant vehicle.   • Starting Price has the meaning set forth in Section 9.01(i)(ii).

  • Trading Price of the Notes on any date of determination means the average of the secondary market bid quotations obtained by the Bid Solicitation Agent for $5,000,000 principal amount of Notes at approximately 3:30 p.m., New York City time, on such determination date from three independent nationally recognized securities dealers the Company selects for this purpose; provided that if three such bids cannot reasonably be obtained by the Bid Solicitation Agent but two such bids are obtained, then the average of the two bids shall be used, and if only one such bid can reasonably be obtained by the Bid Solicitation Agent, that one bid shall be used. If the Bid Solicitation Agent cannot reasonably obtain at least one bid for $5,000,000 principal amount of Notes from a nationally recognized securities dealer on any determination date, then the Trading Price per $1,000 principal amount of Notes on such determination date shall be deemed to be less than 98% of the product of the Last Reported Sale Price of the Common Stock and the Conversion Rate.

If the Weighted Average Price cannot be calculated for a security on a particular date on any of the foregoing bases, the Weighted Average Price of such security on such date shall be the fair market value as mutually determined by the Company and the Holder. If the Company and the Holder are unable to agree upon the fair market value of such security, then such dispute shall be resolved pursuant to Section 11 with the term “Weighted Average Price” being substituted for the term “Exercise Price.” All such determinations shall be appropriately adjusted for any stock dividend, stock split, stock combination, reclassification or other similar transaction during the applicable calculation period.

  • Volume Weighted Average Price means, for any security as of any date, the daily dollar volume-weighted average price for such security on the Primary Market as reported by Bloomberg through its “Historical Prices – Px Table with Average Daily Volume” functions, or, if no dollar volume-weighted average price is reported for such security by Bloomberg, the average of the highest closing bid price and the lowest closing ask price of any of the market makers for such security as reported in the "pink sheets" by Pink Sheets LLC.

  • Cash sale price means the price of a good or service a retail buyer would pay if he or she paid for the good or service in cash, and that is stated in a retail installment contract or in a sales slip or other memorandum furnished by a retail seller to a retail buyer pursuant to a retail charge agreement for that good or service.
