ARQULE TECHNOLOGY means all information and data which is owned by ArQule or licensed by third parties to ArQule prior to or during the Research Program and is necessary or useful to conduct the screening to discover Active ArQule Compounds and Active Homologs thereto or to develop, make, use, sell or seek regulatory approval in any country to market a product containing a Licensed Compound; all to the extent and only to the extent that ArQule now has or hereafter will have the right to grant licenses, immunities or other rights thereunder.
ARQULE TECHNOLOGY means, collectively, ARQULE Background Technology and ARQULE Program Technology.
ARQULE TECHNOLOGY means Technology that is either (i) assigned solely to ArQule, (ii) assigned jointly to ArQule and a party other than ACADIA, or (iii) licensed to ArQule, in each case to the extent that ArQule has the ability to license or sublicense the rights required under this Agreement without payment to a third party. "ACADIA TECHNOLOGY" means Technology that is either (i) assigned solely to ACADIA, (ii) assigned jointly to ACADIA and a party other than ArQule, or (iii) licensed to ACADIA, in each case to the extent that ACADIA has the ability to license or sublicense the rights required under this Agreement without payment to a third party. "COLLABORATION TECHNOLOGY" means (i) all Committed Compounds and their use against Committed Targets, (ii) all Targeted Compounds and their uses, and (iii) any Technology that is developed, invented, or discovered jointly by one or more employees or consultants of ACADIA and one or more employees or consultants of ArQule in connection with the Collaboration.

More Definitions of ARQULE TECHNOLOGY
ARQULE TECHNOLOGY means Technology, including, but not limited to Technology described and made a part of this Agreement in Exhibit A, comprising the System and Improvements thereto, which Technology is developed by employees of or consultants to ArQule alone or jointly with third parties prior to the Effective Date and during the Contract Period, but excluding technology that ArQule does not have the right to license, sublicense, or practice as set forth in this Agreement without the consent of or payment to a third party. ArQule Technology also includes all Improvements to the System that are developed under the Plans by Pfizer employees alone or jointly with ArQule Staff during the Contract Period; provided, however, that Pfizer Confidential Information has been removed. ArQule Technology does not include Pfizer Compounds.
ARQULE TECHNOLOGY means Technology that is either (i) assigned solely to ArQule, (ii) assigned jointly to ArQule and a party other than Bayer, or (iii) licensed to or otherwise controlled by ArQule, in each case to the extent that ArQule has the ability to license or sublicense such rights as required under this Agreement without payment to or the consent of a third party. "JOINT TECHNOLOGY" means Technology that is developed or discovered jointly by one or more employees or consultants of Bayer and one or more employees or consultants of ArQule in connection with this Agreement.

"JOINT TECHNOLOGY" means Technology that is developed or discovered jointly by one or more employees or consultants of Sankyo and one or more employees or consultants of ArQule in connection with this Agreement.
ARQULE TECHNOLOGY means Technology that is either (i) assigned solely to ArQule, (H) assigned jointly to ArQule and a party other than Cubist, or (iii) licensed to ArQule, in each case to the extent that ArQule has the ability to license or sublicense the rights required under this Agreement. "Cubist Technology" means Technology that is either (i) assigned solely to Cubist, (ii) assigned jointly to Cubist and a party other than ArQule, or (iii) licensed to Cubist, in each case to the extent that Cubist has the ability to license or sublicense the rights required under this Agreement. "Joint Technology" means Technology that is developed or discovered jointly by one or more employees or consultants of Cubist and one or more employees or consultants of ArQule in connection with the Collaboration.
ARQULE TECHNOLOGY means all Related Technology (including but not limited to ArQule's AMAP-TM- Parallel Synthesis System and ArQule Design Tools), which is or was developed by employees of or consultants to ArQule alone or jointly with third parties prior to the Effective Date, or acquired by purchase, license, assignment or other means from third parties by ArQule prior to the Effective Date; and improvements related solely to the foregoing. "Joint Technology" means Technology that is developed or discovered jointly by one or more employees or consultants of Solvay and one or more employees or consultants of ArQule pursuant to this Agreement, explicitly excluded are the compounds specified in Section 6.1.
ARQULE TECHNOLOGY means all trade secrets, know-how, Confidential Information, and Proprietary Materials that are owned or controlled by ArQule as of the Effective Date or acquired during the Research Period, except for any AMAP Technology or AMAP Improvements.
