Approved Delivery definition

Approved Delivery means the streaming delivery of an encrypted (except with respect to files which are not Included Programs, such as promotional materials) digital electronic file over the public, global network of interconnected networks known as the Internet or “Worldwide Web”, using technology which is currently known as Internet Protocol, solely to an IP-addressable device. In no event shall Approved Delivery include downloading; provided that the limited buffering or caching of a temporary file that is inaccessible after initial viewing shall not be deemed downloading in violation of the requirements for Approved Delivery. For purposes of clarification, Approved Delivery shall include without limitation streaming delivery over the public Internet accessed (i) through the use of Blu-ray discs or other optical media that contain certain client software (excluding any Blu-ray discs or other optical media that contain pre-recorded long-form audiovisual content) that will initiate and authenticate (by utilizing the disc or optical media in an Approved Device) the transmission of data via IP (e.g., “BD-Live” technology) from the SVOD Service; (ii) through any private, closed or walled-garden IP networks (but in no event through any closed and proprietary cellular audio-visual content service or through any closed and proprietary satellite, cable or fiber optic audio-visual content service); and (iii) through the use of Applications and Playback Clients. Approved Delivery means (i) for Approved Set-Top Boxes, the secured Encrypted delivery of audio-visual content via Electronic Downloading or Streaming to an Approved Set-Top Box to subscribers of the Approved System, (ii) for Target Devices and Portable Devices, the secured Encrypted delivery of audio-visual content via Electronic Downloading or Streaming over the public, free to the consumer (other than a common carrier/ISP access charge) network of interconnected networks known as the Internet/World Wide Web (the “Internet”), using technology which is currently known as Internet Protocol (“IP”), including an Internet connection via WiFi; and (iii) for Portable Devices (and not for Target Devices or Approved Set- Top Boxes), (a) Side Loading, (b) the secured Encrypted delivery of audio-visual content via Electronic Downloading or Streaming over Licensee’s proprietary closed conditional access wireless network and (c) provided each applicable Subscriber has downloaded to the applicable Target Device or Portable Device a free “app” (i.e., media store software) owned and operated by Licensee, the secured Encrypted delivery of audio-visual content via Electronic Downloading or Streaming over the proprietary closed conditional access wireless networks of third parties. “Approved Delivery” shall not include any means of Viral Distribution. For the avoidance of doubt, in accordance with Section vi of the Usage Rules, (a) each Subscriber Target Device and Portable Device that receives an Included Program by means of Electronic Downloading or Streaming in accordance with the foregoing shall constitute one (1) of such Subscriber’s maximum of five (5) Approved Devices for the applicable Subscriber Transaction, and (b) each Stream of an Included Program in accordance with the foregoing to such Target Device or Portable Device shall count toward the Simultaneous Streaming Limit.

Examples of Approved Delivery in a sentence

  • An Approved Device must be Registered to an Account at the time the Subscriber requests delivery (and in order to receive such delivery) of an Included Program via the applicable Approved Delivery or Approved IP Delivery to such Approved Device.

  • In the event that a compulsory content classification body (“Compulsory Regime”) is established within the Territory applicable for content distributed by means of SVOD via Approved Delivery, either party shall provide written notice to the other party and the parties agree to discuss in good faith the implementation (if applicable) of such Compulsory Regime in the context of distribution of the Included Programs hereunder.

  • Licensor hereby grants to Licensee a limited, non-exclusive license to exhibit Promotional Previews on the SVOD Service via Approved Delivery in accordance with Clause 1211.1 above, subject to any contractual restrictions of which Licensor notifies Licensee in writing.

  • Without limiting the foregoing, each such transmission of an Included Program shall be solely by Approved Delivery in an Approved Format to a Registered User’s Approved Device located in the Territory, subject to Licensee’s obligations set forth in Clause 4 of Schedule B, for exhibition on each such Approved Device’s associated video monitor in a format designed for viewing on such video monitor.

  • Without limiting the generality of the foregoing, no Included Program shall be exhibited to any person other than a Registered User within the Territory as part of the SVOD Service in the medium of Subscription Video-On-Demand, or transmitted other than by Approved Delivery in an Approved Format to Approved Devices for Personal Use.

  • Without limiting the foregoing, each such transmission of an Included Program shall be solely by Approved Delivery in an Approved Format to a Registered User’s Approved Device (via Applications and/or Playback Clients on same) located in the Territory, subject to Licensee’s obligations set forth in Clause 4 of Schedule B, for exhibition on each such Approved Device’s associated video monitor in a format designed for viewing on such video monitor.

  • An Approved Device must be Registered to an Account at the time the Subscriber requests delivery (and in order to receive such delivery) of an Included Program via the applicable Approved Delivery to such Approved Device.

  • Without limiting the foregoing, each such transmission of an Included Program shall be solely by Approved Delivery in an Approved Format to a Registered User’s Approved Device located in the Territory for exhibition on each such Approved Device’s associated video monitor in a format designed for viewing on such video monitor.

  • Only the Approved Sublicensees shall be entitled to manage and control (a) the relevant Approved Delivery Means; (b) the direct transactional interface with each Subscriber to the Licensed Service; (c) the billing relationship with each Subscriber to the Licensed Service; and (d) the collections of all fees payable in respect of each Subscriber Transaction.

  • Licensee may simulstream (i.e., transmit for simultaneous, linear, real-time, non- interactive viewing) solely to Subscribers of the Licensed Service the exhibition of the Programs on the Licensed Service to Approved Devices using Approved Delivery Means solely in Standard Definition, subject at all times to the Basic Television License Agreement, the Standard Terms and Conditions, this Rider, and the Content Protection Requirements and Obligations attached hereto as Schedule 1.


More Definitions of Approved Delivery

Approved Delivery shall not include any means of Viral Distribution. For the avoidance of doubt, in accordance with Section vi of the Usage Rules, (a) each Subscriber Target Device and Portable Device that receives an Included Program by means of Electronic Downloading or Streaming in accordance with the foregoing shall constitute one (1) of such Subscriber’s maximum of five (5) Approved Devices for the applicable Subscriber Transaction, and (b) each Stream of an Included Program in accordance with the foregoing to such Target Device or Portable Device shall count toward the Simultaneous Streaming Limit.

The termination of an Accelerated Borrowing Base Delivery Event as provided herein shall in no way limit, waive or delay the occurrence of a subsequent Accelerated Borrowing Base Delivery Event in the event that the conditions set forth in this definition again arise.
