Applicable Employees definition

Applicable Employees has the meaning set forth in Section 5.5(a).

Applicable Employees means all of the following:

Applicable Employees means employees of KKR that are members of finance, tax, legal, compliance, technology, public affairs, client partners group, client services and operations teams that spend time on Company-related matters and certain of the Company’s officers who devote a significant amount of their time to Company-related matters, such as the Chief Operating Officer.

Examples of Applicable Employees in a sentence

• Each Applicable Employee who accepts employment with Purchaser or one of its Affiliates and commences working for Purchaser or one of its Affiliates shall become a “Transferred Employee.” To the extent such offer of employment by Purchaser or its Affiliates is not accepted, Sellers shall, as soon as practicable following the Closing Date, terminate the employment of all such Applicable Employees.

• On and after the Closing Date, the Purchaser, the Company and the Subsidiary, as applicable, shall have responsibility for all COBRA obligations related to the Applicable Employees who are employed by the Company or the Subsidiary, as applicable, on and after the Closing Date and their qualified beneficiaries that arise as a result of a COBRA qualifying event occurring after the Closing Date.

• The Seller shall retain liability for long-term disability benefits payable to Applicable Employees who as of the Closing Date are receiving long- term disability benefits or who as of the Closing Date are eligible to receive, or following the expiration of any applicable elimination period, will be eligible to receive long-term disability benefits.

• Each of the Applicable Employees shall have accepted Buyer’s offer of at-will employment.

• The Purchaser agrees to honor the reemployment rights of Applicable Employees absent from employment on the Closing Date due to sick leave, short- or long-term disability or workers’ compensation.

More Definitions of Applicable Employees

Applicable Employees has the meaning specified in Section 8.6(a).

Applicable Employees means (i) all active Employees on the Closing Date, including Employees on temporary leave for purposes of jury or annual two-week national service/military duty, Employees on vacation and Employees on a regularly scheduled day off from work, and (ii) Employees who on the Closing Date are on maternity or paternity leave, educational leave, military leave with veteran’s reemployment rights under federal law, leave under the Family Medical Leave Act of 1993, approved personal leave, short-term disability leave or medical leave, provided, however, that no such Employee shall be guaranteed reinstatement to active employment if he is incapable of working in accordance with the policies, practices and procedures of the Purchaser or if his return to employment is contrary to the terms of his leave; and further provided, however that Purchaser shall not be required to offer employment to any Applicable Employee whose employment would not be permitted under applicable law and regulation. Each Applicable Employee who accepts Purchaser’s offer of employment shall be a “Transferred Employee” for purposes of this Agreement effective upon the later of the Closing Date or the return of such Applicable Employee to active employment. A Transferred Employee’s employment with Purchaser shall be on an “at-will” basis, and nothing in this Agreement shall be deemed to constitute an employment agreement with any such person or to obligate Purchaser to employ any such person for any specific period of time or in any specific position or to restrict Purchaser’s right to terminate the employment of any such person at any time and for any reason satisfactory to it.

Applicable Employees shall have the meaning set forth in Section 9.6.

Applicable Employees means the employees of the Business as identified by name, job title and job site location on Schedule 5.5(a), which schedule also sets forth the current base salary or annual wages, as applicable, annual cash bonus opportunity plans, as applicable, stock based incentive plans and years of credited service with Seller and its Affiliates for each such Applicable Employee; provided, that Seller shall furnish to Buyer an updated Schedule 5.5(a) not later than five Business Days prior to the Closing Date, which schedule shall indicate any newly hired employee of the Business and any employee of the Business whose employment has terminated following the date hereof.

Applicable Employees employees of KKR that are members of KKR’s finance, tax, legal, compliance, technology, public affairs and operations teams that spend time on Company-related matters.

Applicable Employees is defined in Section 7.5(b).

Applicable Employees means those employees of a Seller or its Affiliate that are listed on Disclosure Schedule 8.3(a).
