API Materials definition

API Materials means, collectively, the API, API Software and API Documentation.
API Materials means any application programming interfaces and related documentation licensed hereunder which is made available to Client in connection with Client’s license to the Software, if any. “Affiliates” means any entity controlling, controlled by, or under common control with the referenced entity, where the term “control” means the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of an entity, whether through the ownership of voting securities, by contract, or otherwise. We reserve all rights not expressly granted herein and, except as expressly granted in this Section 1, no right or license is granted hereunder, express or implied or by way of estoppel, to any technology or intellectual property rights. As between the parties, we retain all right, title, and interest in and to the Software and Service and all copies and derivative works thereof, which rights include, but are not limited to, patent, copyright, trademark, trade secret, and all other intellectual property rights.
API Materials means software development kits, sample code, software templates or other material, and any related Documentation made available by UiPath for use of the UiPath API within the scope of this Agreement.

Examples of API Materials in a sentence

  • Notwithstanding anything to the contrary herein, Client’s rights in and to any API Materials owned by third parties are limited to the rights granted to Client by such third parties.

  • API Materials and HealthSuite Data (including User Data and other personal or personally identifiable information) constitute Confidential Information of Philips.

  • Client acknowledges and agrees that Philips may (but is not obligated to) monitor the API Materials and HealthSuite Data and Client’s access thereto and use thereof for any purpose, including to ensure quality and to verify compliance with this Agreement and any Service Order and Statement of Work.

  • Client may not permit or enable any third party to use or access any API Materials.

  • Upon any change to a Client Application or any API Materials that affect a Client Application, Client shall resubmit such Client Application to Philips pursuant to this Section 3.

  • Upon any such suspension, termination or revocation of Client’s and/or a Client Application’s access to the API by Philips, any and all licenses Client may have with respect to the API Materials, API Marks and HealthSuite Data will immediately terminate, and Client will immediately cease using all API Materials, API Marks and HealthSuite Data and delete any API Materials, API Marks and HealthSuite Data in its possession or control.

  • Without limiting the foregoing, and regardless of whether the applicable User has consented, Client shall not: (a) use or disclose for marketing purposes any User Data or other personal or personally-identifiable information received by Client or a Client Application from or through Philips or the HSDP Platform, or by using any of the API Materials or (b) aggregate any such data (or use or disclose any such aggregated data) for any purpose.

  • Client will not interfere with such monitoring or otherwise obscure from Philips any activity in connection with the API Materials and HealthSuite Data, and Philips may use any technical means to overcome such interference.

  • Client may use only those API Materials that are provided by Philips to Client.

  • Notwithstanding anything to the contrary herein, Client shall submit all Client Applications to Philips prior to any use of such Client Application (or any related API Key or other API Materials) with the HSDP Platform or otherwise in Philips’ production environment.

You shall not take any action inconsistent with these intellectual property rights, the Software and Service are protected by United States and other applicable laws and by international treaty provisions, and any rights not expressly granted herein are reserved by Cylance.
API Materials means all information made available by the Bank in respect of and/or through an API, including:- (a) API descriptions; (b) all technical documentation and operations information relating to an API; (c) all details of the parameters for calls and responses from and to an API; (d) all security materials; (e) all user guides, test scripts and any other documentation provided by the Bank to facilitate use of an API; and (f) any other software code or information made available by the Bank in relation to an API, whether through the Bank of APIs Portal or otherwise, as amended by the Bank from time to time;
API Materials means all information made available by the Bank in respect of and/or through an API, including:- (a) API descriptions; (b) all technical documentation and operations information relating to an API; (c) all details of the parameters for calls and responses from and to a particular API; (d) all security materials; (e) all user guides, test scripts and any other documentation provided by the Bank to facilitate use of the API; (f) all developer comments and forum content relating to the relevant API; and (g) any other software code or information made available by the Bank in relation to an API, whether through the Bank of APIs Portal or otherwise, as amended by the Bank from time to time;
API Materials means any API libraries, Integration Keys, software, source files, sample code, reference documentation, how-to guides, and template materials.
API Materials means any and all of the API, the API Key, and the Specifications (including any copies, portions, extracts and derivatives thereof) and any related materials (excluding the API Marks) made available by or on behalf of Philips to Client pursuant to this Agreement or otherwise in connection with the API.

Related to API Materials

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Supplier Materials has the meaning set out in clause 8.1(g);

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Study Materials means all the materials and information created for the Study, or required to be submitted to the Sponsor including all data, results, Biological Samples, Case Report Forms (or their equivalent) in whatever form held, conclusions, discoveries, inventions, know-how and the like, whether patentable or not, relating to the Study, which are discovered or developed as a result of the Study, but excluding the Institution’s ordinary patient records.

  • Third Party Materials means any materials and information, including documents, data, know-how, ideas, methodologies, specifications, software, content, and technology, in any form or media, in which any Person other than the State or Contractor owns any Intellectual Property Right, but excluding Open-Source Components.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Manufacturing Materials means parts, tools, dies, jigs, fixtures, plans, drawings, and information produced or acquired, or rights acquired, specifically to fulfill obligations set forth herein.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the JBE Materials or Confidential Information.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Client Materials means the CLIENT Development Materials and the CLIENT Production Materials.

  • Standard Materials means all Materials not specified as Custom Materials.

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.
