  • Notwithstanding the foregoing, nothing shall prevent Apex, Apex Sweden, Apex Luxembourg, AMM, ASC Bolivia or Service Company from taking any actions in connection with any such filing required under applicable Law, provided that no such filing shall excuse Apex, Reorganized Apex, any Seller or any other Apex Affiliate from any of its obligations under this Agreement or any other Transaction Document.

  • The Lender agrees, provided that Apex Sweden has complied with Section 4.1 of this First Amendment, to fund a Shareholder Loan of US$4,900,000 to Borrower on or before October 2, 2008, and otherwise on terms and conditions substantially similar to other outstanding Shareholder Loans from Lender to Borrower.

  • To the extent within the control of Apex, Apex shall cause Apex Sweden, Apex Luxembourg, AMM, ASC Bolivia and Service Company to meet their respective obligations through the Closing Date to prevent the filing of Insolvency Proceedings.

  • Each of the Borrower, Apex Metals, Apex Sweden and Apex Luxembourg shall notify the Secured Parties and PRI Insurers not more than 30 days after receiving the terms of such settlement offer, and the Secured Parties and the PRI Insurers shall agree to accept or reject such settlement within 45 days following receipt of such notice (or, if disclosed to the Secured Parties, such shorter period as may be required by the terms of such settlement offer, but in no event less than 30 days).

  • All amounts required to be paid to Apex Sweden under this Agreement shall be paid to Apex Sweden in full and in a timely manner without assertion of any right of offset, counterclaim, withholding, deduction, right of cross-collateralization, or right of reduction on account of any obligations.

  • Apex represents and warrants with respect to itself, Apex Sweden, Apex Luxembourg, Old Metals, and Service Company to Sumitomo that the statements contained in this Section 3.1 are true, correct, and complete as of the date of this Agreement (except to the extent such representation and warranty specifically speaks as of a different date).

  • Apex, Apex Luxembourg, Apex Sweden, Service Company and ASC Bolivia are sometimes referred to individually as a “Seller” and collectively as the “Sellers”, and any Sumitomo Affiliate that Sumitomo designates as a purchaser of the Purchased Properties are sometimes referred to individually as an “SC Designated Purchaser” and collectively, together with Sumitomo and SC Minerals, the “Purchasers”.

  • Sumitomo represents and warrants with respect to itself to Apex, Apex Sweden, and Apex Luxembourg that the statements contained in this Section 3.2 are true, correct, and complete as of the date of this Agreement (except to the extent such representation and warranty specifically speaks as of a different date).

  • Each of Apex Luxembourg and Apex Sweden agrees that except as contemplated by the Transfer Restrictions Agreement it shall not permit the Organizational Documents of Apex Metals to be amended or modified in any manner that would deprive the holders of the Apex Metals Quotas of control of Apex Metals.

  • Sweden means the Kingdom of Sweden and, when used in a geographical sense, includes the national territory, the territorial sea of Sweden as well as other maritime areas over which Sweden in accordance with international law exercises sovereign rights or jurisdiction;

  • Denmark means the Kingdom of Denmark including any area outside the territorial sea of Denmark which in accordance with international law has been or may hereafter be designated under Danish laws as an area within which Denmark may exercise sovereign rights with respect to the exploration and exploitation of the natural resources of the sea-bed or its subsoil and the superjacent waters and with respect to other activities for the exploration and economic exploitation of the area; the term does not comprise the Faroe Islands and Greenland;

  • Italy means the Italian Republic and includes any area beyond the territorial waters which is designated as an area within which Italy, in compliance with its legislation and in conformity with the International Law, exercises sovereign rights in respect of the exploration and exploitation of the natural resources of the seabed, the subsoil and the superjacent waters;

  • Finland means the Republic of Finland and, when used in a geographical sense, means the territory of the Republic of Finland, and any area adjacent to the territorial waters of the Republic of Finland within which, under the laws of Finland and in accordance with international law, the rights of Finland with respect to the exploration for and exploitation of the natural resources of the sea bed and its sub-soil and of the superjacent waters may be exercised;

  • Apex means a point on an alluvial fan or similar landform below which the flow path of the major stream that formed the fan becomes unpredictable and alluvial fan flooding can occur.

  • France means the European and Overseas Departments of the French Republic including the territorial sea, and any area outside the territorial sea within which, in accordance with international law, the French Republic has sovereign rights for the purpose of exploring and exploiting the natural resources of the seabed and its subsoil and the superjacent waters;

  • Euronext Dublin means The Irish Stock Exchange plc trading as Euronext Dublin;

  • Belgium means the Kingdom of Belgium; used in a geographical sense, it means the territory of the Kingdom of Belgium, including the territorial sea and any other area in the sea and in the air within which the Kingdom of Belgium, in accordance with international law, exercises sovereign rights or its jurisdiction;

  • GIB means General Instructions to Bidders

  • SADC means the Southern African Development Community;

  • LTD means NMC Healthcare Limited (in administration);

  • UK Subsidiary means a Subsidiary organized under the laws of England and Wales.

  • DTI means the Department of Trade and Industry;

  • Ireland means the Republic of Ireland.

  • Euroclear Sweden means Euroclear Sweden AB, the Swedish central securities depository;

  • Raffle means a lottery in which the prize is won by (i) a random drawing of the name or
