Antitrust Filings definition

Antitrust Filings shall have the meaning set forth in Section 5.7(a).

Antitrust Filings means all required filings under the HSR Act and all required filings under other applicable Antitrust Laws required in order to consummate the transactions contemplated by this Agreement.

Examples of Antitrust Filings in a sentence

• The Antitrust Filings shall be in substantial compliance with the requirements of the HSR Act, the EC Merger Regulation or other Laws, as applicable.

• Each party shall cooperate with the other party to the extent necessary to assist the other party in the preparation of its Antitrust Filings and, if requested, to promptly amend or furnish additional information thereunder.

• The Paired Entities, Parent, MergerCo 1 and MergerCo 2 shall cooperate and consult with each other in connection with the making of all such Antitrust Filings, including by providing copies of all relevant documents to the non-filing party and its advisors prior to the filing.

• To the extent a single Antitrust Filing is required with respect to the Company and any Purchaser in connection with any of the non-U.S. Antitrust Filings listed in Schedule 4.2, rather than separate Antitrust Filings from each party, the relevant Purchaser shall take the lead in making such filing.
