The terms and provisions (other than this Section 2.2) relating to Option Products, including the Option Product License and the exclusivity provisions of Section 2.7 as applicable to an Option Product, shall not become effective until the later of (a) the date on which BIG pays the Option Exercise Fee and (b) completion of the Antitrust Clearance (“Option Exercise Effective Date”).
