Antitrust Clearance definition

Antitrust Clearance means a decision by any Required Antitrust Authority authorizing or not objecting to (where such non-objection is under applicable law construed as an authorization to complete the Transaction) the Transaction, including the expiry of the applicable waiting period where such an expiry is deemed to be an authorization;
Antitrust Clearance means the fact that, in accordance with the Antitrust Regulations, any Governmental Authority having jurisdiction with respect to the concentration resulting from the transactions contemplated by this Agreement:

  • Seller shall exercise its best efforts to assist Purchaser in obtaining the PRC Antitrust Clearance.

  • The Buyer shall deliver to the Seller and its advisors, as soon as received, a copy of the ruling, decision or document giving rise to the satisfaction or non-satisfaction of the Antitrust Clearance or stating or evidencing any significant development or situation in respect thereof.

  • The Parties shall cooperate in seeking to promptly obtain the Antitrust Clearance.

More Definitions of Antitrust Clearance

Antitrust Clearance means all applicable approvals or clearances shall have been received from the appropriate Governmental Entities and all applicable waiting periods shall have expired or been terminated or waived by the appropriate Governmental Entities relating to any Antitrust Filing identified in Exhibit C;
Antitrust Clearance means, with respect to any Commercial Option, (a) that any applicable waiting periods (and any extensions thereof) for exercise of such Commercial Option under the HSR Act and any other applicable Antitrust Laws will have expired or otherwise been terminated and (b) that there exists (i) no requirement for a waiver, consent or approval of the FTC, the DOJ or any other applicable Governmental Authority with respect to the exercise of such Commercial Option, (ii) no judgment, injunction, decree or any other order in any suit or proceeding preventing the exercise of such Commercial Option, and (iii) no other matter relating to actions under any Antitrust Laws that would preclude, impede or delay materially the grant of the rights and licenses that would be granted upon the exercise of such Commercial Option.
Antitrust Clearance means the earlier of (a) notification to the Parties from each applicable Antitrust Authority of early termination of the applicable waiting period under the applicable Antitrust Laws with respect to an Antitrust Filing and (b) expiration of all applicable waiting periods under applicable Antitrust Laws with respect to any required Antitrust Filings; provided, however, that if any Antitrust Authority commences any investigation by means of a second request or otherwise, clause (b) shall be deemed to occur on the termination of such investigation without action to prevent the Parties from implementing the transactions contemplated by this Agreement.
