ANTI-SOLICITATION definition

ANTI-SOLICITATION. Employee agrees that in addition to any other limitation, for a period of three (3) years after the termination of his/her employment with the Company, except a termination caused by the Company in violation of the terms of the Employment Agreement, and unless otherwise specified, he/she will not, on behalf of himself/herself or on behalf of any other person, firm, corporation, business or entity, call on any of the customers or employees of the Company, or any of its affiliates, subsidiaries or trade partners for the purpose of soliciting any of the entities described above into joining with the Employee or another, transacting business with the Employee or another for any service or product that competes with the principal business of the 7 Company, as defined above. Further, Employee agrees that he/she will in no way, directly or indirectly, for himself/herself, or on behalf of any other person, firm, corporation, business or entity solicit, divert or take away customers and/or employees of the Company, its affiliates, subsidiaries, or trade partners.

  • Competing Offer means a Tender Offer for Units which (i) is Commenced prior to the expiration of the Offer by a Person that is not an Affiliate (or in the case of Waltxx Xxxeet, as to its Associates only) of any Partner and (ii) has a cash purchase price per Unit that is at least 2% (10% with respect to the first Competing Offer made following the Offer by the Partnership)

  • Competition or “Competitions” means any competition comprised within the Event where the winner is awarded a prize. A Competition may be comprised of one or more qualification phase/sections, runs or heats, including official training sessions. In the FIS Rules, Competitions are sometimes also referred to as “races”.

  • Consent Solicitation Memorandum means the consent solicitation memorandum dated 20 October 2021 prepared by the Issuer in relation to the Consent Solicitation;
