Annual Incentive definition

Annual Incentive see Section 2.7.

Annual Incentive means the higher of (i) a Covered Executive’s target annual incentive in the then partial calendar year, if applicable, of his/her termination of employment, or (ii) his/her highest actual annual incentive earned in the three (3) full prior calendar years preceding his/her termination of employment under an annual incentive plan sponsored by the Company or any comparable plans of The E. W. Scripps Company (and annualized in the case of any pro rata annual incentive earned for a partial calendar year); and

Examples of Annual Incentive in a sentence

• Each bonus paid under the Annual Incentive Program shall be paid to Executive no later than March 15th of the calendar year following the calendar year in which the bonus is earned.

• The Company will continue an Annual Incentive Plan under which Executive’s target incentive payment for each calendar year will be at least 75% of Executive’s Salary, with any payments under the plan to be determined under the terms of the plan based on attainment of Company and individual goals as provided in the plan, and subject to Executive’s continued Employment with the Company through the end of the plan year for which such incentive payment is earned.

• Bonus achievement for subsequent years shall be determined under the applicable Senior Executive Annual Incentive Plan.

• Beginning with the 2022 plan year, Executive will participate in the Xxxxxxx Amended and Restated Annual Incentive Plan or any successor Company annual bonus plan (“Annual Incentive Plan”) in accordance with the terms of the plan.

• Subject to the terms of this Agreement and the Company’s 2024 Annual Incentive Plan (the “2024 Plan”), solely to the extent Executive’s employment terminates on the End Date or in accordance with Section 1(a)(ii), Executive shall receive Executive’s annual bonus in respect of fiscal year 2024, pro-rated for the number of days Executive is employed in 2024, through the Separation Date, and based on actual individual and Company performance (the “Prorata Bonus”).

More Definitions of Annual Incentive

Annual Incentive shall have the meaning set forth in Section 5.2 hereof.

Annual Incentive means the annual incentive, also referred to as the Pitney Bowes Incentive Plan (PBIP), that a Participant is eligible to earn under the Pitney Bowes Key Employee Incentive Plan.

Annual Incentive. Plan ("AIP") for 1997. Awards shall be determined and paid under the AIP for the 1997 Plan Year based on the performance goals established by the Compensation Committee. However, in the event of a Change in Control prior to the payment of the 1997 Plan Year Award, such AIP Award payable to Executive for the 1997 Plan Year shall be in an amount at least equal to the full "target" level amount for the year.

Annual Incentive. Plan," when immediately preceded by "NSI" means the National Service Industries, Inc. Management Compensation and Incentive Plan, and any other short-term compensation, bonus, or incentive compensation programs established or maintained by the NSI Group. When immediately preceded by "Spinco," "Annual Incentive Plan" means any short-term compensation, bonus, or incentive compensation programs to be established or maintained by Spinco pursuant to Section 2.3.

Annual Incentive means the higher of (a) a Covered Executive’s target annual incentive in the then partial calendar year, if applicable, of his/her termination of employment, or (b) his/her highest actual annual incentive earned in the three (3) full prior calendar years preceding his/her termination of employment under an annual incentive plan sponsored by the Company.

Annual Incentive means the annual bonus earned for a year pursuant to any annual incentive plan or program adopted by the Compensation Committee. Annual Incentive shall not include any spot bonuses, hiring bonuses, separation payments, retention payments, or other special or extraordinary payments.

Annual Incentive means the annual Performance Based Compensation Incentive that a Participant is eligible to earn pursuant to the Pitney Bowes Key Employee Incentive Plan.
