Annual Base Compensation definition

Annual Base Compensation means the total of the Executive’s most recent annual salary and target incentive under the Company’s Executive Incentive Plan.
Annual Base Compensation means the greater of (x) Employee's Base Salary in effect on the Termination Date, or (y) the greatest Base Salary of Employee in effect during the calendar year immediately prior to the calendar year in which the Termination Date occurs.
Annual Base Compensation means an annual compensation amount payable to directors and executive officers, as established from time to time by the Board.

Annual Base Compensation means an annual compensation amount payable to Non-Employee Directors as established from time to time by the Board.

Within thirty (30) days of the date of termination under Section 3(c)(i), the Board shall give Executive notice of its calculation of the Estimated Annual Bonus together with a description of the basis and assumptions supporting such projection.
