This Agreement and the Ancillary Documents to which Atlantic Group and Affiliates are a party have been duly executed and delivered by Atlantic Group and its Affiliates and are enforceable against Atlantic Group and its Affiliates, in accordance with their respective terms, except to the extent that such enforceability may be limited by the General Enforceability Exceptions.
