Ancillary Documents means each agreement, instrument or document attached hereto as an Exhibit, and the other agreements, certificates and instruments to be executed or delivered by any of the Parties hereto in connection with or pursuant to this Agreement.

Ancillary Documents means the ▇▇▇▇ of Sale and Assignment, SB IP License, Star Packaging Services Agreement, Investor Questionnaire, the Real Property Leases, the Escrow Agreement, the Security Agreement and all other agreements, certificates, instruments and other documents to be executed or delivered by one or more of the parties in connection with the transactions contemplated by this Agreement.

Ancillary Documents means the Sponsor Letter Agreement, the Subscription Agreement, the PIPE Investor Subscription Agreements, the Executive Chairman Agreement, the Registration Rights Agreement, the Transaction Support Agreements, the Letters of Transmittal and each other agreement, document, instrument and/or certificate contemplated by this Agreement executed or to be executed in connection with the transactions contemplated hereby.

• This Agreement and the Ancillary Documents to which Atlantic Group and Affiliates are a party have been duly executed and delivered by Atlantic Group and its Affiliates and are enforceable against Atlantic Group and its Affiliates, in accordance with their respective terms, except to the extent that such enforceability may be limited by the General Enforceability Exceptions.

• The execution, delivery, and performance of this Agreement and all Ancillary Documents to which Axiom and Circle8 Group is or will be a party have been duly authorized by Axiom and Circle8 Group, respectively, has all requisite power and authority to own and lease the properties and assets it currently owns and leases and to conduct its activities as currently conducted and as presently contemplated to be conducted.

Ancillary Documents means all agreements, indentures (including the Warrant Indenture), certificates (including the certificates, if any, representing the Shares, Warrants, Warrant Shares and Compensation Options), officer’s certificates, notices and other documents executed and delivered, or to be executed and delivered, by the Company in connection with the Offering, whether pursuant to Applicable Securities Laws or otherwise;

Ancillary Documents means, collectively, the Buyer Ancillary Documents and the Seller Ancillary Documents.

Ancillary Documents means the Escrow Agreement, the Shareholder Agreement, the Articles of Association of the Target Company, the Cooperation Agreement, the Voting Support Agreement, the Instruments of Transfer and all other agreements, documents and instruments required to be delivered by any of the Parties pursuant to this Agreement or otherwise, and any other agreement, document or instrument to be entered into on or before the Closing in connection with this Agreement or the transactions contemplated by this Agreement.

Ancillary Documents has the meaning set forth in Section 3.3.

Ancillary Documents means the Contributing Parties Ancillary Documents and the Partnership Ancillary Documents.
