Ancillary Bank definition

Ancillary Bank means any Bank which becomes an Ancillary Bank by the operation of Clause 7.

Ancillary Bank means each Lender which becomes an Ancillary Bank by operation of Clause 8 (ANCILLARY FACILITIES).

  • No amendment or waiver of a term of an Ancillary Facility shall require the consent of any Bank other than the relevant Ancillary Bank unless such amendment or waiver itself relates to or gives rise to a matter which would require an amendment or waiver of or under this Agreement (including, for the avoidance of doubt, under this Section 2.04) in which case the provisions of this Agreement with regard to amendments and waivers will apply.

  • The Seller shall cause the Company to (i) take all actions necessary to continue the listing and trading of its ADSs on the NYSE and shall materially comply with the Company’s reporting, filing and other obligations under the rules of the NYSE, in each case, through the Closings, and (ii) at the Company’s own cost file with the NYSE a supplemental listing application in respect of the Sale I Shares.

  • Seller Ancillary Agreements means all agreements, instruments and documents being or to be executed and delivered by Seller under this Agreement or in connection herewith.
