Each Amalgamating Corporation has all necessary corporate power and capacity to own, operate and lease its property and carry on its business as now conducted by it and is duly registered, licensed, permitted or otherwise qualified to carry on business in each jurisdiction in which the nature of the business now conducted by it requires it to be so registered, licensed, permitted or qualified.
